Jade Biosciences appoints Dr. Mark Eisner to Board of Directors. June 26, 2026 Dr. Mark Eisner Jade Biosciences (Nasdaq: JBIO) has appointed biopharmaceutical executive Dr. Mark Eisner to its board of directors, effective June 25, 2026, adding a veteran drug development leader as the clinical-stage biotechnology company advances its pipeline of antibody-based therapies for autoimmune diseases. Eisner brings more than 25 years of experience in clinical development, immunology and regulatory strategy, with a track record spanning early-stage research through global product approvals and commercialization. His appointment comes as Jade continues developing multiple antibody candidates targeting autoimmune disorders, including its lead program for immunoglobulin A (IgA) nephropathy. Most recently, Eisner served as executive vice president and chief medical officer at Vir Biotechnology, where he led the company's clinical development, regulatory sciences and medical affairs organizations. Before that, he held chief medical officer positions at Sonoma Biotherapeutics and FibroGen. Earlier in his career, Eisner spent nearly 11 years at Genentech/Roche, ultimately serving as senior vice president and global head of product development for immunology, infectious disease and ophthalmology. In that role, he directed multinational clinical development programs and global regulatory submissions across several therapeutic areas, providing experience that aligns with Jade's strategy of advancing novel antibody therapies through clinical development. Prior to joining the biotechnology industry, Eisner was a professor of medicine and anesthesia at the University of California, San Francisco. Jade Biosciences has priced a public offering of 10 million common shares at $15.00 per share, expecting gross proceeds of $150 million before expenses. Underwriters have a 30-day option to purchase up to an additional 1.5 million shares. The clinical-stage biotechnology company, focused on autoimmune disease therapies, will use net proceeds alongside existing cash to fund clinical trials, preclinical studies, manufacturing, research and development, capital expenditures and working capital. The offering is expected to close on 5 June 2026. Jefferies, TD Cowen and UBS Investment Bank are acting as joint book-running managers, with LifeSci Capital as passive book-running manager and BTIG as lead manager. The shares are being offered pursuant to an effective Form S-3 shelf registration statement.
Jade Biosciences has raised $45 million in a private placement led by BB Biotech, selling 3,214,286 shares of common stock at $14.00 per share. The transaction is expected to close on 16 December 2025, subject to customary closing conditions. The clinical-stage biotechnology company, which focuses on autoimmune disease therapies, will use proceeds to fund research and development, general corporate expenses and working capital. The shares are unregistered, and Jade has agreed to file a registration statement with the SEC to enable resale under a registration rights agreement.
