The transaction closed on 5 February 2026, with William Blair serving as exclusive financial adviser to PrimeRx. PrimeRx has provided technology solutions for pharmacies for over 30 years, offering software for prescription management, point-of-sale and inventory management. RedSail operates a network of 16,000 pharmacies serving nearly 50 million active patients, providing integrated tools for community, long-term care, outpatient and specialty pharmacies. Francisco Partners has invested in over 450 technology companies with more than $50 billion in capital raised, whilst Leonard Green & Partners manages roughly $75 billion in assets.

The US Justice Department is weighing a challenge to a deal between two of the largest companies offering software to small, independent pharmacies, as antitrust enforcers step up their focus on the health-care industry. The deal, which the companies didn't publicly announce, involves the acquisition of Micro Merchants Systems, the operator of pharmacy management software platform PrimeRx, by RedSail Technologies, said the people, who asked not to be named discussing a confidential matter. Micro Merchants is backed by TA Associates Management, while RedSail is the result of multiple acquisitions backed by investment firms including Francisco Partners. Representatives of the companies met with DOJ antitrust chief Gail Slater in late November, said the people. Such meetings indicate significant government opposition to a deal, although they don't always precede a federal lawsuit if the companies are able to make proposals that allay the agency's concerns. Companies submit confidential filings to US authorities as part of a merger review process. A lawsuit challenging the RedSail-PrimeRx deal would be the first merger challenge by Slater, who started on the job in March. The Justice Department hasn't made a final decision to challenge the deal and could elect not to bring a case, the people said. A Justice Department spokesperson declined to comment. Spokespeople for RedSail, Micro Merchant Systems, Francisco Partners and TA Associates didn't respond to requests for comment. Spartanburg, south carolina-based RedSail operates several services designed to help community pharmacies manage their businesses and patient care. RedSail bought community pharmacy software companies pioneerrx in 2020 and bestrx earlier this year. It also recently bought companies handling prescription delivery and pharmacy retail payments. In announcing the pioneer deal, RedSail at the time described itself as the "largest community-focused pharmacy network in the country." The company says it's used by more than 12,000 pharmacies. Uniondale, New York-based PrimeRx offers similar services to community pharmacies. Before Slater took the post, the DOJ sued to block Hewlett-Packard Enterprise Inc.'s acquisition of wireless networking rival Juniper Networks Inc. in the early days of the Trump Administration, but settled the case in June. Under Slater, the DOJ has reached settlements on four other mergers, but has yet to challenge a deal. Both the DOJ and the Federal Trade Commission have reprioritized merger settlements, something the Biden Administration largely eschewed. A lawsuit could also indicate that scrutiny of private equity dealmaking will continue to be a priority for US antitrust enforcers. Under president joe Biden, the DOJ and FTC focused heavily on private equity deals. The DOJ sued KKR & co. Inc. over allegedly inadequate disclosures when submitting mergers for government review. KKR countersued, saying the case had no legitimate basis and was politically motivated. Meanwhile, the FTC sued Welsh Carson Anderson & Stowe LP and a portfolio company for rolling up anesthesia medical practices. Claims against Welsh Carson were dismissed, while the FTC's case against U.S. Anesthesia Partners Inc. is ongoing. The company refuted the agency's allegations, calling the lawsuit misinformed. Aside from HPE, the Trump Administration has challenged just two deals, with the FTC suing to block a pair of small health-care deals. The FTC recently lost its court case against a pair of companies making coatings for medical devices and last week it wrapped up a multiday hearing to stop Edwards Lifesciences Inc. from acquiring a rival device maker. The Justice Department is also in the middle of a sprawling antitrust investigation of UnitedHealth Group Inc. that was opened during the Biden Administration and continued by Slater.
