Synchronoss Shareholders to Receive $9.00 Per Share in Cash...
Synchronoss Technologies has agreed to be acquired by Lumine Group in an all-cash transaction valuing the company at approximately $116.4 million in equity value and $258.4 million in enterprise value. Shareholders will receive $9.00 per share, representing a 70% premium to the 3 December 2025 closing price. The Board unanimously approved the deal, with holders of approximately 21% of outstanding shares committed to voting in favour. The transaction is expected to close in the first half of 2026, subject to shareholder approval, regulatory clearance and customary conditions. Upon completion, Synchronoss will become privately held and be delisted from Nasdaq. The company, a global leader in personal cloud platforms, is expected to remain headquartered in Bridgewater, New Jersey. TD Cowen served as financial adviser to Synchronoss.
