UL Solutions reported second-quarter revenue of $816 million, meeting analyst expectations, with adjusted earnings per share of $0.59 beating estimates of $0.56. The company posted 5.2% year-on-year revenue growth and maintained an operating margin of 18.4%. CEO Jennifer Scanlon attributed performance to demand across Industrial and Consumer segments, driven by electrification, automation, and energy transition. The company saw double-digit growth in data centre-related power and automation services. However, higher employee compensation, incentives, and professional fees pressured margins. CFO Ryan Robinson said integration expenses and performance-based compensation created near-term headwinds, though management reaffirmed its full-year margin outlook. Despite meeting expectations, the market reacted negatively to the results.
UL Solutions Inc. reported strong second quarter 2026 results with revenue growing 5.2% to $816 million, driven by 6.6% organic revenue growth led by Industrial and Consumer segments. Net income surged 161.9% to $254 million, whilst adjusted net income increased 17.3% to $129 million. The company's net income margin expanded to 31.1%, up 1,860 basis points year-over-year, boosted by the sale of its Employee Health and Safety software business. Adjusted EBITDA rose 11.2% to $219 million, with margin expansion of 140 basis points to 26.8%. Diluted earnings per share climbed 168.9% to $1.21, and adjusted diluted earnings per share increased 13.5% to $0.59. CEO Jennifer Scanlon highlighted the company's alignment with megatrends and strong positioning for the remainder of 2026.
UL Solutions has been added to multiple Russell indices, including the Russell 1000, 3000 and Midcap families, and opened a new automotive electromagnetic compatibility laboratory in Toyota City, Japan. The facility expands the company's advanced vehicle testing capabilities. The developments follow UL Solutions' first hazardous-location robot certification for ExRobotics' ExR-2.5, demonstrating the company's expansion into emerging automation testing. These moves strengthen its position in safety-critical testing across automotive, industrial and robotics markets. The company's narrative projects $3.7 billion revenue and $571.2 million earnings by 2029, requiring 6% annual revenue growth. However, investors should note that higher capital intensity and tax changes may impact reported earnings despite the expanded global laboratory footprint.
UL Solutions has opened a new automotive electromagnetic compatibility laboratory in Toyota City, Japan, beginning operations on 1 July. The 2,323-square-metre facility will provide EMC testing to help manufacturers protect vehicles from interference affecting critical systems like braking and steering. The Automotive Technology and Innovation Centre is among few EMC laboratories in Japan equipped for high-voltage, high-current, high-torque and high-speed rotational testing. Its chambers can handle up to 25,000 RPM and power supplies delivering up to 1,500 volts and 1,000 amps. Located in Japan's Tokai region, the facility strengthens UL Solutions' global EMC testing network and supports automakers in the world's third-largest vehicle market, which produced over 8 million vehicles in 2025.
UL Solutions has priced an underwritten secondary public offering of 20 million shares of Class A common stock at $49 per share, raising $980 million. The shares are being sold entirely by selling stockholder UL Standards & Engagement, with underwriters holding a 30-day option to purchase an additional 3 million shares. The global applied safety science company will not offer any shares and will receive no proceeds from the sale. The offering is expected to close on 9 September 2024, subject to customary conditions. Latham & Watkins represented both UL Solutions and the selling stockholder, led by Chicago partners Cathy Birkeland and Christopher Lueking. The firm previously advised UL Solutions on its $1.08 billion IPO, one of 2024's largest initial public offerings.
