Keeping care local while strengthening care everywhere.

Keeping care local while strengthening care everywhere. * Sachin K. Gupta, Founder and Global CEO Sachin K. Gupta is the Founder and Chief Executive Officer of IKS Health, a global leader in care enablement solutions, and an inaugural member of the IKS Health Board of Directors. Gupta founded IKS Health in 2006 and has pioneered its emergence as the leading care enablement platform in the United States. IKS Health recently completed its acquisition of TruBridge, bringing together two organizations with distinct histories and capabilities but a shared purpose: helping healthcare organizations operate more effectively so clinicians can focus on patients and communities can maintain access to high-quality care. Rural and community hospitals face many of the same challenges as large health systems and independent physician practices, including workforce constraints, growing administrative burden, payer complexity, rising technology demands, and sustained financial pressure. They often confront these challenges with fewer resources and less room for disruption, making any added complexity even harder to absorb. They need technology and accountable partners that help complete essential work, strengthen performance, and preserve access to care. That is the opportunity IKS Health Limited. see in bringing IKS Health and TruBridge together. Any acquisition of this scale creates reasonable questions about continuity, investment priorities, customer support, and future direction. In healthcare, trust must be earned continuously, and its responsibility is not simply to promise continuity but to preserve what works, invest in what can be improved, and demonstrate value through measurable customer outcomes. TruBridge brings more than 45 years of healthcare experience and relationships with more than 1,500 organizations, particularly rural and community hospitals. IKS Health already supports community hospitals, large health systems, ambulatory organizations, and independent physician practices through clinical documentation, coding, revenue cycle, patient engagement, and other AI-driven care enablement capabilities. Together, IKS Health Limited. can extend more advanced technology, operational expertise, and financial capabilities across the acute and ambulatory continuum without losing sight of the distinct needs of each customer. The strength of TruBridge's position is also supported by independent customer feedback. In 2026, Black Book Research ranked TruBridge No. 1 in both Community Hospital Patient Accounting and RCM Platforms and Small, Rural, and Critical Access Hospital Core RCM Platforms. Additionally, TruBridge has earned HFMA Peer Reviewed(R) certifications for its RCM tech, and its complete billing office and coding solutions. These recognitions reflect the experiences of the organizations that depend on these capabilities every day. However, its ambition is larger than combining two portfolios. Healthcare has invested heavily in systems designed to collect, store, and present information. The electronic health record (EHR) remains the essential system of record, but clinicians, revenue cycle teams, and administrative staff still spend too much time moving between systems, correcting errors, resolving exceptions, and ensuring that work gets completed. The problem is no longer simply access to data. It is the ability to turn that data into appropriate, timely action. A patient may be scheduled but not financially cleared. A prior authorization requirement may be identified but not completed before care is delayed. A clinical encounter may be documented without the information flowing efficiently into coding and billing. A denial risk may be visible, yet no action occurs until after the claim is rejected. Each disconnected handoff adds cost, delay, frustration, and the possibility that important work remains unfinished. This is why IKS Health Limited. believe healthcare needs a stronger connection between the system of record and a system of action. The system of record provides the trusted clinical foundation, while the system of action uses data, context, explainable AI, workflow orchestration, automation, and human expertise to carry work through to completion. Insight alone does not improve access, prevent a denial, complete a prior authorization, finish documentation, or strengthen financial performance. Value is created when intelligence leads to action, and that action produces a measurable outcome. For nearly 20 years, IKS Health has been building these capabilities across the patient journey, from access and engagement through clinical documentation, coding, prior authorization, denials, and broader revenue cycle operations. TruBridge, with its 45-year history, adds a trusted EHR platform, proven hospital revenue cycle technology, coding expertise, analytics, and decades of experience addressing the operational realities of rural and community healthcare. Together, these capabilities can create a more connected operating model in which clinical and financial information does not remain trapped in separate systems waiting for people to act. Instead, technology can help initiate the next appropriate step, route exceptions, apply specialized intelligence, incorporate human judgment, and learn continuously from outcomes. This is not about removing people from healthcare. It is about removing unnecessary work from people so they can focus their expertise where it creates the greatest value. IKS Health Limited. believe AI is most effective when it amplifies human capability rather than replacing accountability. Technology can provide speed, consistency, and scale, while experienced professionals contribute clinical context, judgment, governance, and oversight. This combination is particularly important for rural hospitals, community hospitals, ambulatory organizations, and independent practices that do not need the resources of a national health system to benefit from advanced AI and automation. Nor should healthcare organizations be required to abandon their existing technology infrastructure. Its goal is to create value across different EHR environments and organizational models, including TruBridge customers, current IKS Health customers, and organizations using other systems of record. The combined organization now supports more than 2,000 healthcare organizations and over 150,000 clinicians. That scale matters only when it translates into better outcomes: easier access and greater financial clarity for patients, less administrative work for clinicians, stronger revenue integrity and more reliable operations for healthcare organizations, and greater financial resilience for the communities they serve. IKS Health Limited. do not view this acquisition primarily as a story about owning more technology or adding more services. IKS Health Limited. view it as an opportunity to accept greater responsibility for helping healthcare organizations complete essential work and deliver better outcomes. IKS Health Limited. will listen to customers, preserve the relationships and expertise that have made TruBridge a trusted partner, continue supporting the organizations that already rely on IKS Health, and invest in innovation that serves customers across acute and ambulatory care. Its success will be measured not by the number of capabilities IKS Health Limited. bring together, but by the value IKS Health Limited. create for patients, clinicians, healthcare organizations, and communities. The future of healthcare will be shaped by organizations that can turn intelligence into action, action into outcomes, and outcomes into more sustainable care. That is the future IKS Health Limited. is working toward together.

TruBridge files 10-K after audit adjustments, Q4 revenue hits $87.2M

TruBridge reported fourth-quarter revenue of $87.2 million, in line with guidance, with adjusted EBITDA of $19.2 million at the high end of expectations. Full-year revenue reached $346.8 million, up 1.4% year-over-year, whilst adjusted EBITDA rose 23% to $68.7 million. Free cash flow increased to $20 million for the year. The company filed its 10-K following a delay caused by out-of-period adjustments identified during final audit procedures with its new external auditor. Management emphasised these noncash adjustments were not material to fiscal 2025 results. CEO Christopher Fowler disclosed the company is conducting a strategic review to maximise shareholder value. Fourth-quarter bookings reached $19.8 million, supported by growing SaaS partnerships and revenue cycle services. The overall sales pipeline has increased 53% since early third quarter.

IKS Health has entered into a definitive agreement to acquire TruBridge, a healthcare technology provider for rural and community hospitals, for $26.25 per share in cash. The deal values TruBridge at approximately $1.45 billion based on its outstanding shares. The combined company will serve over 2,000 healthcare organisations and 150,000 clinicians, integrating IKS Health's AI-driven care enablement platform with TruBridge's revenue cycle management and electronic health records solutions. The acquisition aims to strengthen healthcare access in underserved rural communities, where nearly one in five Americans face care access challenges. Jhunjhunwalas-backed IKS healthcare looks to acquire TruBridge for $600 million.

Jhunjhunwalas-backed IKS healthcare looks to acquire TruBridge for $600 million. , ET Bureau Last Updated: Apr 13, 2026, 07:01:00 AM IST Inventurus Knowledge Solutions (IKS), backed by the family of late investor Rakesh Jhunjhunwala, is in advanced talks to acquire Nasdaq-listed TruBridge for about $600 million. If completed, this would be IKS's largest acquisition and strengthen its position in healthcare technology and revenue cycle management in the US. A formal announcement is expected soon. Mumbai: Inventurus Knowledge Solutions (IKS), a healthcare technology solutions company backed by the family of the late Rakesh Jhunjhunwala, is in advanced negotiations to acquire Nasdaq-listed TruBridge in the US for around $600 million, said people aware of the matter. If the deal takes place, this will be the company's largest purchase and will help consolidate its presence in the healthcare solutions and revenue cycle management (RCM) segment, the people said. The transaction is in line with heightened investor interest in the space, which has seen unprecedented consolidation in the past two years. A formal announcement is expected in the coming days. IKS Healthcare, which gave the Jhunjhunwala family a 530-fold return on their investment during its December 2024 listing, is held by three discretionary trusts of the promoter family - Nishtha, Aryavir and Aryaman - with each owning 16.37% of the company. Rekha Jhunjhunwala, Rakesh's widow, owns another 0.23% stake while IKS founder Sachin Gupta holds 33.57%. The promoter group owns a total 63.7% of the company, which seeks to simplify the administrative tasks of physicians and medical assistants. The company, founded originally as an RCM service provider in 2006, works with US providers. In Talks for Funds It manages their tasks as part of the overall care management process. These cover various customer touchpoints, ranging from scheduling to denial management. IKS added transcription service capabilities after its $200 million acquisition of Aquity Solutions in October 2023. This also brought in many client relationships, some of which can be scaled in the medium term. IKS is negotiating for $675 million in financing with Citi, Deutsche Bank and JP Morgan to back its all-cash offer as well as help refinance the target's debt, said the people cited. TruBridge also provides healthcare information technology and services to community hospitals and healthcare organisations. Fourth quarter earnings missed revenue expectations by a slight margin. Last month's earnings announcement amid ongoing strategic reviews and efforts to strengthen financial controls. Revenue for the 12 months ended December rose to $346.8 million from $342.2 million in the year before. It swung to a profit of $4.4 million from a net loss of $20.9 million. US brokerage and financial services firm Cantor Fitzgerald reiterated its overweight ratings on the company last week, expressing confidence in TruBridge's turnaround efforts. The company is said to be one to two quarters away from smoother quarterly bookings updates, which could improve visibility for investors. Despite the revenue miss, TruBridge's quarterly results were in line on revenue and favourable on ebitda, according to analysts. A recent filing delay was deemed immaterial and aligns with the company's efforts to improve reporting. These developments reflect a mix of cautious optimism and strategic reassessment among analysts and investors. Its stock is down 18.53% year to date with a market value of $270 million as per Friday closing. In comparison, IKS Health current market capitalisation stood at Rs 26, 417.1 crore ($2.84 billion) on NSE. IKS CFO Nithya Balakrishnan didn't respond to queries and neither did TrueBridge. The increasing complexity of healthcare billing and reimbursement regulations, growing focus on improving patient experience and the need for efficient and cost-effective revenue cycle management processes, are some of the key factors that are driving the healthcare revenue cycle management market, possibly driving premium valuations. "IKS is using AI to break the linearity between revenue growth and employee growth as revenue increased 18.3% year on year while headcount growth was 1.5% year on year in the third quarter of FY26," said Nomura analyst Abhisekh Bhandari. "The improvement in margins from this non-linearity is likely to be offset by increased investments in R&D." Annual R&D investments would be around 5% of sales. The focus of the company is to leverage the entire platform offering and compete with multiple point solutions that are being used by physicians. The outsourced market for the US healthcare industry is growing at 12% annually, and a growth rate above 12% implies market share gains for IKS. In recent interactions, the company's management have mentioned that even though the US healthcare industry is facing inflation, and reimbursements from the government and private companies are decreasing, it will act as a tailwind for IKS as providers face pressure on margins forcing them to lower operating costs by utilising the services of companies like IKS. Capital allocation in the near term will focus on business growth, including inorganic opportunities and reducing the remaining $50 million debt. "The market is right for consolidation and IKS remains open to evaluate assets across India and US which are inefficiently run and can aid in generating synergies," said Kanwaljeet Saluja of Kotak Institutional Equities. "The balance sheet can support scaled acquisitions. Cost synergies would be from general and administrative expenses optimization. IKS is evaluating assets across RCM offerings as well as those with complementary clients such as acute settings, which offer better cross-selling for IKS's large presence among ambulatory clients." Last year Blackstone acquired AGS Health for $1.1 billion in a closely contested race. Ontario Teachers' Pension Plan scalped a 45% stake of Omega Healthcare valuing it at $1.8 billion while TA Associates invested $250 million for a majority buyout of Vee Healthtek. EQT Partners acquired GeBBS Healthcare Solutions from ChrysCapital for $860 million and Carlyle picked up a majority stake in Florida based Knack Global at a valuation of around $500 million.
