Requirements
  • Juris Doctor degree in Law required.
  • Must be a member in good standing with the State Bar of Michigan or possess the ability to become a member upon being hired.
  • Minimum of 7 years of previous experience serving as in-house counsel and handling a variety of legal matters and projects independently.
  • Experience with analyzing and interpreting statutes, general business and legal periodicals, professional journals, technical procedures and governmental regulations.
  • Highly developed sense of ethics, integrity, discretion, and judgment.
  • Advanced written communication skills, including the ability to write contracts and provide clear legal analysis and opinions on matters.
  • Advanced verbal communication skills, as is necessary for negotiation and to effectively present information and respond to questions from regulators, business partners, management and third parties and to navigate sensitive conversations and present solutions in a tactful manner.
  • Ability to effectively work in a fast-paced environment with competing priorities, deadlines, and workloads that can be variable for long periods of time.
  • Ability to lead others and manage projects within the department.
Responsibilities
  • Drafts a variety of legal documents and memos, opinions, and pleadings where appropriate, with guidance from the senior attorney on the most complex matters.
  • Proactively identifies and analyzes legal issues and risks presents clear opinions, advice and recommendations, and helps ensure legal compliance across the full spectrum of the enterprise.
  • Serves as experienced counsel for substantive areas of law as required with ability to quickly learn unfamiliar areas of law.
  • Effectively partner with business leaders in identifying and evaluating business objectives, legal risks, and liabilities to achieve overall business objectives by providing support and counsel beyond strictly legal advice.
  • Engages within department by serving as a resource for junior colleagues, developing or enhancing precedents, guidance notes and other know-how for benefit of entire department).
  • Actively contributes to wider business activity through participation in cross-functional teams and considers the commercial impact when applying legal and regulatory principles to develop practical and workable solutions.
  • Proactively assumes additional responsibilities and performs special projects or investigations as needed.
  • Regulatory: Expertise in reviewing and interpreting federal and state laws, regulations and other guidance required.
  • Extensive knowledge of Michigan Insurance Code, Affordable Care Act, Mental Health Parity, and Addition Equity Act and other federal and state laws impacting individual and group health benefits and insurance regulations and the interpretation of those laws.
  • Ability to serve as contact with Department of Insurance and Financial Services on legal matters involving the enterprise and the regulator.
  • Experience providing trusted legal advice and counsel on health care benefit requirements and limitations in federal laws, state laws, and regulations in furtherance of drafting of certificates and riders.
Desired Qualifications
  • 10 years of previous experience within handling a variety of legal matters and projects independently, preferred.
  • Experience with drafting and negotiating various types of provider agreements (professional and/or facility) preferred.
  • Experience with value-based and risk contracts a plus
