Requirements
  • Status as a qualified lawyer / attorney permitted to practice law in any recognised jurisdiction.
  • At least six years of prior experience in a law firm or in-house environment of executing private markets transactions including direct private equity or private M&A transactions, and/or fund investments including primary fund investments, secondary transactions and co-investments.
  • Substantial prior experience negotiating transaction documents including sale and purchase agreements, framework agreements and transfer documents, and joint venture/partnership documents including limited partnership agreements, shareholders’ agreements and side letters.
  • Ability to work across jurisdictions and time-zones with different cultures and negotiating styles.
  • A high degree of attention to detail and accuracy in work completed.
  • Highly organised with strong project management skills and exceptional responsiveness.
  • Ability to manage multiple workstreams and transactions at once.
  • Ability to work well in a team and to review and supervise junior team members’ work.
  • High level of professionalism, confidentiality, discretion and judgement.
  • Excellent written and verbal communication skills.
  • Computer literacy, including excellent working knowledge of Microsoft applications such as Excel, Word and PowerPoint.
  • Ability to manage and prioritise workloads.
  • Ability to work to tight deadlines/under pressure.
Responsibilities
  • Lead execution of any investment type including complex transactions that may involve fund restructurings, single company secondaries and innovative new structures not previously executed by Pantheon.
  • Outstanding in all aspects of such deal execution, demonstrating strong commercial judgement and proactive input to the fundamentals of transaction structure, including at or before committee stage.
  • Ability to negotiate all legal documents governing Pantheon transactions including term sheets, SPAs, LPAs, framework agreements, shareholder agreements, side letters and other ancillary documentation.
  • Together with treasury and investment professionals, work with key lenders on the execution of deal level debt transactions, including advising on fundamentals of debt terms and negotiation of all facility documents.
  • Supervision of ongoing operational management of debt facilities by credit admin team.
  • Structuring investments to accommodate the tax characteristics of all participating Pantheon clients and working with the investment team and external advisers to minimise tax leakage through the structure.
  • Efficiently form and operate acquisition structures, including Pantheon-managed SPVs.
  • Ability to execute sales of fund interests (on a portfolio and single-fund basis).
  • Used as a resource by global investment professionals for resolution of particularly complex structuring challenges on transactions across the Pantheon platform.
  • Ensure compliance across the Pantheon platform with Pantheon’s investor restrictions.
  • Review client legal documentation to comment on feasibility of client strategies, investment restrictions and legal requests, and devise processes to ensure client needs can be met.
  • Identify and sponsor improvements to Pantheon’s closing and operational processes; Represent the team on relevant internal committees; supervise and sponsor major internal projects and maintain strong relationships with senior operations managers; work with operations, treasury, finance, tax, legal and back-office functions to improve investment processes including anti-trust/PTP transactions, SPV formation, debt and sales closing notices, 40 Act investment process, NDAs, client action memos, AML, CFIUS and other regulatory hurdles.
  • Complete training of structuring and investment teams and wider business on key deal execution areas e.g. debt, tax, legal negotiations.
  • Ensure deals are funded on time and without errors.
  • Ensure compliance with investment processes for AML/KYC, NDAs, Access administration, deal approvals, closing notices, legal checklists and regulatory approvals.
  • Ensure compliance with relevant laws, regulations and Pantheon policy (including reporting compliance risks and maintaining appropriate standards of conduct)
Desired Qualifications
  • Prior experience of the structuring, formation, marketing and regulation of private markets investment vehicles would be helpful but is not essential.
  • Prior experience of executing debt transactions such as fund financings or project finance transactions will also be of benefit though is not essential.

HMV Engineering valued at $1.6B as Exponent leads $840M continuation vehicle

HMV Engineering has been valued at €1.4 billion in a continuation vehicle transaction led by existing investor Exponent. The approximately €750 million deal brings in new investors Apollo S3, Pantheon, and SQ Capital to support the Irish engineering firm's expansion. The Limerick-based company provides high-voltage engineering and critical power infrastructure services. HMV expects to close FY26 revenues at over €1 billion, up from €61 million in 2020, whilst expanding its workforce from 300 to over 1,900 employees. The company holds a €2 billion order book and €16 billion pipeline. It targets €3 billion in annual revenues within five years and plans to grow its global workforce to 3,000 employees. HMV will open its North American headquarters in Dallas later this year, having established a US presence in late 2025. The transaction is subject to regulatory approval and expected to complete in September 2026.

Pantheon closes largest co-investment fund at $3.2B for private equity deals

Pantheon, a global private markets investor with approximately $84 billion in assets under management, has closed its largest co-investment programme at $3.2 billion. The Pantheon Global Co-Investment Opportunities Fund VI and related vehicles focus on mid-market companies in non-bank financials, industrials, business services, and technology. The fund's investor base has grown across all regions, with strongest expansion from Asia. Pension funds remain the largest capital source, but the base now includes sovereign wealth funds, insurance companies, asset managers, family offices, and endowments. In 2025, Pantheon deployed approximately $1.3 billion across 30 co-investment deals. The firm's private equity platform represents $41 billion of its total assets under management and has a 40-year track record.

Pantheon launches infrastructure secondaries evergreen fund, expanding $15B semi-liquid platform

Pantheon has launched a new evergreen fund focused on infrastructure secondaries, expanding its semi-liquid investment platform. The firm received regulatory approval for Pantheon Global Infrastructure Secondaries Fund, a Luxembourg-domiciled vehicle targeting private wealth investors. The launch completes Pantheon's evergreen range, which already includes strategies in private equity through Pantheon Global Private Equity and private credit secondaries via Pantheon Global Credit Secondaries Fund. Pantheon's evergreen platform now manages $15 billion in assets across three major areas: private equity, private credit and infrastructure. The platform provides access to both US and international markets, strengthening the firm's positioning in solutions for private investors.

QHP closes $1.1B continuation vehicle for Azurity Pharmaceuticals with HarbourVest

QHP Capital has closed a $1.1 billion continuation vehicle for Azurity Pharmaceuticals, providing liquidity to existing investors whilst securing long-term capital for growth. The transaction was led by HarbourVest Partners, with Pantheon Ventures and Audax Strategic Capital participating. The deal, announced on 13 February 2026, allowed limited partners in QHP's selling fund to either take returns or roll proceeds into the continuation vehicle. Strong participation came from existing limited partners, whilst QHP's subsequent fund remains a significant investor. The capital will support Azurity's organic growth, business development, licensing and potential mergers and acquisitions. Azurity is a specialty pharmaceutical company with a portfolio of over 50 medicines spanning 10 therapeutic areas, distributed across more than 50 countries.
