  • Juris Doctorate, at least one state Bar membership and ability to become licensed in Texas within 1 year.
  • 8 – 10 years of substantial legal experience in labor relations and employment matters within a well-established law firm and corporate environment.
  • Strong interpersonal and communication skills, both written and verbal. Acute attention to detail.
  • Effective negotiation skills and experience.
  • Broad based understanding of general business practices.
  • Strong problem-solving abilities.
  • Must have adequate computer and word processing skills.
Responsibilities
  • Provide legal counsel, risk analysis, support and training to Vistra on a variety of employment and labor-related matters, as well as compensation and benefits issues.
  • Draft and negotiate terms of corporate transactions and associated personnel impacts, including compensation and benefits issues, workforce transition, outsourcing arrangements, engagement of contractors, and service provider contracts.
  • Draft employment agreements, releases, severance documents and other labor/employment related documents on behalf of the company.
  • Interpret and draft compensation and benefit plan documents.
  • Proactively advise Vistra management regarding ways to avoid or mitigate potential claims against the company and assert claims by Vistra.
  • Make recommendations regarding the potential resolution of cases, including potential settlement as well as the litigation of legal proceedings against others.
  • Work with Vistra’s Risk Management organization and insurance companies regarding claims that are covered by insurance. Work with corporate safety team on OSHA and MSHA compliance matters.
  • Supervise outside litigation counsel and provide guidance to such counsel with respect to Vistra’s strategies, policies, and objectives.
  • Work with senior leadership, HR and operations to support compliance activities in HR and labor/employment areas.
  • Provide day-to-day advice and counsel to HR partners and throughout the business.
