What you’ll do:
Using independent and experienced based judgment, the Corporate Governance Manager plays a crucial role in ensuring the Bank adheres to key corporate governance principles and regulatory requirements. The Corporate Governance Manager manages all operational and administrative aspects of the processes, procedures and projects within the Office of the Corporate Secretary to provide efficient and effective support to the Executive Team, the Board of Directors, and related management and Board committees. Uses critical thinking skills to independently coordinate projects, perform research, analyze data, form conclusions, recommend solutions and communicate findings and recommendations in an effective manner. Reviews the work of other staff performing support functions for the Office of the Corporate Secretary.

- Provide the Board the highest quality support and assist them in performing their fiduciary duties
What you can expect:
- Provide support to the Corporate Secretary and manage the effective governance of the Executive Team, Board of Directors, and related management and board committees and subcommittees. Related duties include, but are not limited to:
- Prepare for and manage the effective execution of all Board of Directors meetings, Committee meetings and related events.
- Prepare Board agendas and materials for review by Corporate Secretary, prepare or coordinate preparation of agendas by Executive Team members, and coordinates final distribution of Board material and/or committee materials, as necessary.
- Writes meeting notices and cover memos for Board materials.
- Draft and finalize minutes from Board and Committee meetings, which require a determination of what is important to record, the level of detail to record, and sensitivity to confidential matters.
- Prepare resolutions, as necessary, and coordinate review of associated delegations of authority. Manage copies of such documents, including posting electronically in various bank platforms.
- Monitor board committee charter responsibilities, maintains Board cumulative calendar, and works with executive team members to ensure that mandatory items are addressed.
- Oversee management of corporate documents and records, including materials posted electronic platform for Board materials and meetings.
- Develop a tailored training program for the Board of Directors, including but not limited to, corporate governance principles, regulatory compliance, and Bank structure. Fosters continued learning by coordinating regular training opportunities.
- Independently manage operational and administrative duties for the Office of the Corporate Secretary. Related duties include but are not limited to:
- Communicate directly with Executive Team members, senior management, and directors.
- Oversee Board compensation procedures and payments; approve expense reimbursements and related regulatory reporting prepared by the Corporate Governance Specialist.
- Design, develop, and implement governance frameworks that align with the Bank’s policies, legal, and operational requirements.
- Maintain best practices, including for preparing minutes, and compliance requirements, such as reporting, for board- and management- level committee meetings, and organize training sessions for Bank staff to align with such practices and requirements .
- Manage Board self-assessment and other governance programs, including director elections; develops and coordinates training programs.
- Manage the cost center and operating expenses for the Office of the Corporate Secretary.
- Perform other functions, projects, and duties as assigned.
What you’ll bring:
- Bachelor’s degree
- Paralegal certificate, or at least 7-10 years experience as a paralegal in-house or at a law firm
- Law related degree, a plus
- 10+ years’ experience in-house or at a law firm in Corporate Governance
- Expert proficiency in MS Word, Excel, PowerPoint, and Outlook, as well as other current software applications
- Knowledge and understanding of corporate governance practices
- Prior experience supporting boards of directors and executive management, including preparing meeting agenda and materials and taking minutes
- Excellent writing and proofreading skills with high proficiency and attention to detail
- Ability to think, work and act independently using good business acumen and judgment
- Interpersonal skills with a high-level verbal communication in dealings with executives, including Directors
- Excellent speaking and listening skills
- Strong presentation skills
- Ability to work well under pressure and maintain composure
- Experience and comfortable working with senior leadership
- Exceptional planning and organization skills; ability to plan, coordinate and monitor a significant number of simultaneous tasks in an environment of shifting priorities with a high level of detail
