Requirements
  • Juris Doctor (J.D.) from an accredited law school; member in good standing of a relevant U.S. state bar (New York strongly preferred)
  • 3+ years of relevant experience at a law firm or financial institution, with exposure to a wide variety of general transactional work, including Mergers and Acquisitions, securities and capital markets matters. Experience representing financial technology companies or financial services companies a plus.
  • Understanding of, or desire to become familiar with, U.S. securities laws and regulations (e.g., Securities Act of 1933, Securities Exchange Act of 1934, Regulation NMS, Regulation ATS and FINRA rules).
  • Experience negotiating a wide range of corporate, transactional and trading agreements, with comfort handling financial terms in equity and capital markets products. Familiarity with, or desire to become familiar with, derivatives and structured equity products.
  • Excellent legal and business judgment, strong communication (written and verbal), negotiation, and drafting skills.
  • Structured, intellectually curious, agile, and able to balance risk with commercial priorities.
  • Collaborative, with a proven ability to manage cross-functional relationships and work seamlessly with both internal and external stakeholders.
Responsibilities
  • Advise on legal and regulatory issues across a broad range of corporate, transactional and markets activities, including equity offerings, private placements, M&A transactions, structured products, and secondary market transactions.
  • Draft, review, and negotiate purchase agreements, subscription agreements, term sheets, offering documents, underwriting agreements and related disclosure materials.
  • Work with advisors to ensure compliance with SEC, FINRA, and stock exchange rules; monitor evolving regulatory frameworks including Regulation NMS, Regulation ATS, and SRO rules.
  • Partner with Compliance and Risk teams to identify, assess, and mitigate legal, regulatory, and reputational risks across equity transactions.
  • Work closely with bankers, traders, issuers, outside counsel, and internal stakeholders to manage transaction flow and execute deals efficiently.
  • Monitor changes in U.S. securities laws, exchange rules, and global market structures; provide thought leadership and practical guidance to business units.
  • Provide support to the internal legal team on a variety of corporate transactions.
