Requirements
  • Bachelor’s degree generally required.
  • General knowledge in the legal field is preferred.
  • Requires four years working in related field or equivalent combination of relevant education and professional experience.

  • Demonstrate the utmost level of discretion and confidentiality.

  • Ability to work with minimal supervision, independently and as a team member.
  • Experience and aptitude in working with complex databases.
  • Proficiency with MS Office (Word, Excel, Powerpoint) software.
Responsibilities
  • Coordinating the preparation, review, and execution of investment documents (term sheets, stock purchase agreements, SAFEs, convertible notes, voting agreements, etc.)
  • Tracking deal timelines and ensuring all parties (founders, outside counsel, co-investors) meet signing and closing deadlines
  • Organizing and maintaining closing binders/checklists for completed transactions
  • Liaising between the fund's investment team and outside legal counsel during deal negotiations
  • Assisting with the formation of new investment entities
  • Supporting compliance with securities regulations (e.g., Reg D filings, Form D submissions, blue sky filings)
  • Helping ensure adherence to "accredited investor" verification requirements
  • Coordinating with compliance officers or outside counsel on regulatory filings and audits
  • Maintaining accurate records of capitalization tables, ownership stakes, and investment instruments across portfolio companies
  • Tracking board seats, observer rights, and information rights the fund holds in portfolio companies
  • Updating internal databases with key legal terms from each investment (pro rata rights, liquidation preferences, anti-dilution provisions, etc.)
  • Drafting or reviewing investment memos summarizing the opportunity, risks, and recommendations
  • Preparing materials and presentations for DCP Operations Team meetings
  • Synthesizing diligence findings into clear, actionable recommendations for partners
  • Drafting routine legal correspondence, NDAs, and side letters
  • Maintaining the firm's legal document repository (organizing executed agreements, amendments, and ancillary documents)
  • Tracking key contractual dates (e.g., information rights deadlines, ROFR windows, expiration of certain rights)
  • Assisting with drafting and distributing SPV agreements, subscription documents, and side letters
  • Supporting KYC/AML documentation collection from members
  • Coordinating responses to member due diligence requests
  • Acting as a point of contact between DCP, outside law firms, auditors, and administrators
  • Managing legal department calendars, deadlines, and document workflows
  • Assisting with intellectual property tracking for portfolio companies, where relevant
  • Supporting M&A, IPO, or exit-related legal logistics when portfolio companies are acquired or go public
