Requirements
  • Graduated from an accredited law school.
  • Be a licensed attorney with a strong academic record.
  • Have 2-5 years of mergers and acquisitions experience with a major law firm or in-house corporate law department.
  • Have working to advanced knowledge of Microsoft Office, including Excel and Word.
  • Manage multiple tasks simultaneously under tight deadlines.
  • Take ownership of issues and follow through to resolution.
  • Work collaboratively as a highly motivated self-starter.
  • Maintain an extremely detail-oriented and meticulous approach.
  • Demonstrate strong analytical and organizational skills.
  • Maintain a high level of confidentiality and integrity.
  • Be able to work irregular hours, such as nights, weekends, or after hours, when required.
  • Be able to operate standard office productivity equipment, including a phone, computer or laptop, mouse and keyboard, photocopy machine, scanner, and electronic fax.
  • Work on a computer for the majority of regular workdays.
  • Be legally authorized to work in the United States without current or future visa sponsorship.
Responsibilities
  • Review transaction documents, usually including merger, asset, or stock purchase agreements, escrow and paying agent agreements, allocation spreadsheets, and supporting or ancillary agreements, to understand post-closing rights and obligations.
  • Complete second-level review of data entered by first-level reviewers to ensure that rights and obligations are completely and accurately reflected in the proprietary database.
  • Confirm accurate recording of standard deal points, including deal size, types of parties, transaction type, purchase price adjustment process, indemnification obligations and related caps, and applicable covenants, representations, and warranties.
  • Answer deal-term and contract-interpretation questions from internal parties and deal stakeholders.
  • Follow up as needed to obtain additional transaction documents and complete accurate recording of deal points.
  • Assist the Compliance Team with designated overflow tasks.
  • Execute special projects as needed or assigned.

Ms. Krawcheck and Mr. Vasan are deeply tenured financial services professionals who bring decades of leadership experience across public and private markets and complex transaction environments. Ms. Krawcheck is a prominent financial executive and entrepreneur. She is the co-founder and former CEO of Ellevest, a digital-first investment platform for women. Previously, she held senior leadership roles across global financial institutions, including serving as CEO of Merrill Lynch Wealth Management, Smith Barney, U.S. Trust, the Citi Private Bank, and Sanford C. Bernstein. She also served as Chief Financial Officer of Citigroup. Earlier in her career, Ms. Krawcheck was a top-ranked equities research analyst covering the securities industry and is widely recognized for her leadership in financial services and advocacy for greater inclusion in investing.
