Requirements
  • A Juris Doctor law degree from an accredited law school.
  • A Bachelor of Arts or Bachelor of Science degree from an accredited university or college.
  • At least 12 years of experience as an attorney in a law firm or corporate legal function.
  • Experience advising public companies on corporate governance, securities law compliance, and Securities and Exchange Commission reporting.
  • Business, finance, or accounting knowledge, terminology, and practices through a degree or experience.
  • A license to practice law in the relevant legal jurisdiction.
  • Deep and broad legal expertise with significant specialized knowledge of relevant jurisdiction laws and regulations.
  • Ability to manage attorneys and other legal professionals individually or as a team.
  • Deep experience with securities law and corporate governance terminology and methods, along with business and financial knowledge.
  • Highly experienced client counseling skills for translating business needs and problems into viable solutions.
  • Highly experienced client service and interpersonal skills.
  • Highly experienced drafting, review, proofreading, negotiation, persuasion, and oral and written communication skills.
  • Ability to clearly present business terminology and concepts.
  • Ability to provide legal advice at a level commensurate with a mid-level, experienced law-firm partner.
  • Strong organization, results orientation, and attention to detail.

Responsibilities
  • Serve as assistant corporate secretary for the public company and its regulated and unregulated subsidiaries.
  • Organize board and committee meetings and prepare agendas, minutes, resolutions, and corporate records.
  • Support board governance, including director onboarding, meeting preparation, listing-standard compliance, regulatory requirements, and governance best practices.
  • Advise on public-company securities-law matters, including compliance with the Securities Act of 1933 and Securities Exchange Act of 1934.
  • Prepare, review, and file periodic and current reports, including Forms 10-K, 10-Q, and 8-K, proxy statements, registration statements, and other Securities and Exchange Commission documents.
  • Provide guidance on earnings announcements and regular shareholder communications.
  • Support financing and other capital projects from inception through ongoing compliance.
  • Coordinate with board members, auditors, regulators, outside counsel, and other internal and external stakeholders on securities and governance matters.
  • Identify legal issues and advise on alternatives to mitigate enterprise risk while achieving client goals.
  • Manage legal research and analysis of highly complex, unusual, or challenging legal issues.
  • Provide legal support for sustainability initiatives and reporting.
  • Supervise and facilitate the development of team members.
  • Lead or support cross-functional projects focused on securities and corporate governance matters.
  • Handle other assigned legal and management matters and projects.
  • Provide timely, high-quality legal advice and support to legal and business colleagues.
