Requirements
  • A Bachelor’s or J.D. degree from a recognized law school.
  • Admission to the Bar in a Canadian province and good standing with the Law Society of Ontario is strongly preferred.
  • Five to eight years of post-call experience focused on commercial contracts.
  • Strong experience drafting, reviewing, and negotiating complex commercial agreements, ideally in a cross-border context.
  • Experience with corporate and commercial, compliance, and Canadian employment law matters.
  • Ability to balance legal risk with business objectives and propose practical, workable solutions.
  • Strong written and verbal communication skills, including the ability to explain legal concepts in plain language to non-lawyers.
  • Confident negotiation skills to represent the company’s interests constructively and collaboratively.
  • Sound judgment, risk-assessment, recommendation, and matter-ownership capabilities.
  • Strong organizational skills and the ability to manage multiple priorities and deadlines in a fast-paced environment.

Responsibilities
  • Provide practical, business-focused legal support to the Canadian headquarters and global operations, primarily focused on commercial contracts.
  • Draft, review, negotiate, and manage commercial agreements, including sales representative and distribution agreements, supply and procurement agreements, manufacturing and service agreements, nondisclosure agreements, licensing agreements, and framework or master agreements.
  • Support contract negotiations with customers, suppliers, distributors, and other business partners in Canada and internationally while balancing legal risk with commercial objectives.
  • Develop and maintain template agreements, standard terms and conditions, and contract playbooks.
  • Advise on contract interpretation, performance issues, amendments, renewals, and terminations, and support the resolution of contractual disputes.
  • Implement and improve contract review, approval, and record-keeping processes.
  • Coordinate protection and enforcement of the company’s intellectual property portfolio, including patents, trademarks, copyrights, and trade secrets, as it relates to commercial agreements.
  • Support intellectual-property provisions in customer, supplier, research and development, technology, licensing, and development agreements.
  • Help manage confidentiality and data-protection obligations involving customers, suppliers, and partners.
  • Assist with corporate governance matters for Canadian and international subsidiaries, including maintaining corporate records, supporting resolutions, and liaising with external corporate service providers.
  • Support internal approval processes for key transactions and corporate initiatives.
  • Assist with mergers and acquisitions, joint ventures, and other strategic transactions through due diligence, document review, and coordination with external counsel.
  • Identify and manage disputes and potential claims involving customers, suppliers, employees, regulators, and other third parties.
  • Gather facts, assess risk, and develop dispute-resolution strategies, including commercial resolutions where appropriate.
  • Instruct and manage external counsel in litigation, arbitration, or regulatory matters when required.
  • Support compliance programs related to competition and antitrust, anti-bribery and corruption, trade controls, sanctions, data privacy, and other applicable laws and regulations.
  • Develop, implement, and update internal policies, procedures, and training materials.
  • Monitor legal and regulatory developments and communicate practical guidance to stakeholders.
  • Provide day-to-day Canadian employment and labour legal support in coordination with Human Resources, including hiring and termination, performance management, policies and handbooks, discipline, accommodations, and workplace investigations.
  • Review and update employment agreements, contractor agreements, confidentiality and intellectual-property assignment agreements, and incentive or bonus plan documentation.
  • Work with external labour and employment counsel on complex or jurisdiction-specific issues.
  • Advise sales, procurement, operations, finance, Human Resources, and other functions on legal matters.
  • Develop and deliver training to business teams on contract basics, competition law, anti-bribery, confidentiality, and intellectual-property protection.
  • Support continuous improvement in legal-service delivery through process improvements and the use of technology and tools.
Desired Qualifications
  • Experience at a top-tier law firm and in-house experience in a manufacturing, industrial, or similar environment.
  • Exposure to international legal issues, including trade, sanctions, and multi-jurisdictional contracts.
  • Experience working with manufacturing, supply chain, or industrial operations.
