  • J.D. from a law school accredited by the ABA
  • Licensed to practice law and in good standing in one or more U.S. states
  • 4+ years of experience in reviewing, drafting, analyzing, advising on, and negotiating software and technology-related agreements
  • Excellent contract drafting, analytical, and critical thinking skills
  • Understanding of key commercial contract provisions including Limitations of Liability, Indemnification, Representations & Warranties, Intellectual Property Rights, and Data Security
  • Experience in contract negotiations with legal counsel for various types of companies
  • Ability to explain complex legal issues clearly and provide practical legal advice
  • Highly organized and detail-oriented with the ability to manage a high volume of deals
  • Independent and proactive work style with self-motivation and resourcefulness
Responsibilities
  • Review, draft, analyze, advise on, and negotiate a high volume of contracts for B2B sales of Awardco’s cloud-based (SaaS) web platform
  • Work closely with Sales, Information Security (InfoSec), and Finance teams to drive transactions to completion and ensure compliance
  • Serve as a trusted resource for the Sales department in contract negotiations
  • Maintain and improve Awardco’s standard form agreements for SaaS sales transactions
  • Stay current on industry standards for software-related agreements and relevant laws and regulations
  • Design and deliver internal legal trainings related to SaaS sales transactions
  • Support Awardco departments with general legal needs and considerations
  • Assist with other legal matters dictated by business needs
