We are seeking a talented Corporate Counsel to join our team in a highly collaborative, business-facing role. This is an excellent opportunity for an attorney looking to transition in-house or deepen their in-house experience while serving as a trusted advisor across the organization. In this role, you will provide high-touch, strategic legal support on a wide range of matters, including technology and SaaS agreements, procurement and data privacy, as well as complex vendor and commercial contracts.
The ideal candidate brings 5+ years of experience managing the full lifecycle of sophisticated commercial agreements, along with a pragmatic, solutions-oriented approach to legal counsel. Admission to the Missouri Bar is required. Experience with contract management systems—particularly Legisway—or an interest in driving process optimization and system enhancements is strongly preferred.

Under general supervision,advise on legal risks,draft, negotiate and manage various commercial agreements, including vendorand accommodation agreements. Develop and execute negotiation strategies, draft and review commercial contracts, andadvise internal stakeholderstoensure that contracting strategy aligns with strategic goals. Operatein accordance withthe highest standards of judgment,integrityand ethical leadership to find creative solutions that contribute to the success of Drury Hotels Company, LLC.

Provide expert legal counsel across diverse areas oflaw.Negotiate, draft, and revise commercial contracts, including complex, company-wide contracts, master service agreementsimpactingmultiple stakeholders. Negotiate,draftand revise a high volume of salesand vendor contractsimpactingsingle hotels or departments. Provide legal adviceand trainingto team members responsible for contract negotiation. Draft and manage contract templates for various departments, includingDrury’s sales and procurement teams.
Lead cross-functional teams in contract negotiations involvingrisk management, property maintenance, information technology,andfood and beverage and advisethose teams on the lawimpactingeach department/stakeholder’s function. Develop,deliverand support initiatives that ensure compliance with the law.
OverseeDrury’s vendormanagementand contractlifecycle processes; improve the efficiency of contracting systems. Overseethe provision ofcertainlegal services by outside legal counsel, including the oversight of contract negotiations. The oversight of legal counsel will include enhancing the quality and value of outside counsel’s work product, and providing outside counsel with Drury’s business,missionand cultural perspective.
Provide expert legal counsel and guidancein the areas of data privacy and security along with other topics as needed.
Report to theSr.Vice President &Chief Legal Officer.
Work closely with all internal stakeholders to draft and negotiate various contracts.
Maintain andpromotea positive and cooperative workingrelationship with all team members.
GENERAL KNOWLEDGE,SKILLAND ABILITY:
Expertisein legal and commercial implications when researching and interpreting the law, applying facts to the law,anticipatinglegal issues, andadvising onlegal risks, obligations, rights and solutions to various challenges and new initiatives.
Ability to effectively draft and negotiate complex and standard contract terms.
Exercise good judgment anddecision making/problem solving skills.
Maintaina high levelof communication with internal stakeholders.Strong presentation skills to advise internal stakeholders at many levels of the organization. Must respond to email and voicemail communications promptly.
Ability to work effectively with a wide range of internal stakeholders,vendorsand customers, as well as the ability to manage conflict.
Working knowledge of Microsoft Office and Microsoft Excel.
Current member of a State Bar, Missouri preferred.
EDUCATION AND/OR EXPERIENCE:
JDfrom an accredited university.
Threeto seven yearsrepresentingcorporations and/or organizations,required, preferably in a law firm or corporate legal department.
