Foundation Risk Partners, one of the fastest growing insurance brokerage and consulting firms in the US, is adding a Paralegal - Mergers & Acquisitions to their team in Ormond Beach, FL. 

Job Summary:

Our legal team is adding a Paralegal to join us in our Ormond Beach location. The successful candidate will support the legal department by reviewing the company’s policies, gathering data, preparing documents or other paperwork involved in the Mergers & Acquisitions process.  They will work closely with and in collaboration with the M&A team to support the various acquisition activities.

Essential Functions:

Provides support to attorneys in our legal department with the focus on M&A legal matters.

• Manage and track M&A deliverables to close
• Prepare and review legal documents including employee contracts, confidentiality agreements, shareholder agreements, financial reports, articles, and lease agreements
• Prepare and track paperwork for mergers, acquisitions, dissolutions, amendments and withdrawals
• Monitor and ensure compliance with state, local and federal regulations
• Assisting in Due Diligence activities as needed
• Prepare and file documentation including state tax registrations and IRS forms
• Prepare UCC searches and filings
• Compile necessary data and prepare audit letters

Requirements:

• Associate degree in Paralegal studies
• Bachelor’s degree preferred
• 3 years’ Paralegal experience
• M&A experience required
• Insurance brokerage experience a plus
