  • 3 years' Paralegal experience

Responsibilities
  • Manage and track M&A deliverables to close
  • Prepare and review legal documents including employee contracts, confidentiality agreements, shareholder agreements, financial reports, articles, and lease agreements
  • Prepare and track paperwork for mergers, acquisitions, dissolutions, amendments and withdrawals
  • Monitor and ensure compliance with state, local and federal regulations
  • Assisting in Due Diligence activities as needed
  • Prepare and file documentation including state tax registrations and IRS forms
  • Prepare UCC searches and filings
  • Compile necessary data and prepare audit letters
