Requirements
  • A Bachelor's degree or equivalent experience is required, along with professional qualifications or memberships applicable to the role, either held or in progress.
  • Experience working in or with the public sector, ideally including local government procurement, is required.
  • Experience with software, including Software as a Service, licensing, and intellectual property rights, is required.
  • Understanding of Government Commercial Agency and similar procurement frameworks is required.
  • Working knowledge of UK GDPR, the Data Protection Act, the Public Services (Social Value) Act, the Procurement Act 2023, the Freedom of Information Act 2000, the Road Traffic Act, the Transport Act, and the Traffic Management Act and supporting regulations is required.
  • Expertise in contracting methods and commercial terms and conditions is required.
  • Experience delivering commercial sales transactions, negotiation, and bid preparation is required.
  • Strong negotiation, critical thinking, decision-making, attention to detail, and financial and legal comprehension are required.
  • The ability to build business relationships with a wide range of internal and external personnel is required.
  • Confidence presenting ideas, knowledge, and experience within the candidate's expertise to colleagues of all disciplines and seniorities is required.
Responsibilities
  • Draft, review, assess the risks of, and approve contracts in conjunction with Group Legal.
  • Oversee all contracts entered into by the company.
  • Manage customer contracts in conjunction with Delivery.
  • Negotiate and manage supplier contracts in conjunction with Supply Chain.
  • Apply and negotiate Contract Change Notes, including terminations where applicable, to maximize the company's commercial benefit.
  • Work with Finance to ensure operational compliance with statutory financial obligations.
  • Ensure the correct application of the Authorisations Matrix and the commercial aspects of the gate review process.
  • Develop and maintain standard agreements, including Standard Terms and Conditions of Purchase and Supply, Service Level Agreements, and Licence Agreements.
  • Advise the management team on legislation, including public procurement and the Procurement Act 2023, and work with other teams to maintain compliance and optimize operations.
  • Act as the primary contact for Group Legal and the primary Intelliscape user of the Group contracts management system.
  • Maintain registers of legal and contractual obligations, including exports, intellectual property, contracts, and agreements.
  • Develop and apply the Social Value strategy and report on compliance with Social Value commitments.
  • Advise management and employees on compliance with UK GDPR and other data protection laws, and review the decision not to appoint a Data Protection Officer.
  • Oversee the data protection approach, work with the IT Manager on strategy and implementation, conduct Data Protection Impact Assessments, and manage and report data breaches to the Information Commissioner's Office where appropriate.
  • Consult external advisory bodies on legal and contractual best practice.
  • Engage in bids and tender responses by authoring or reviewing commercial content.
  • Provide commercial input to risk assessments and pricing strategy.
  • Negotiate and agree Collaboration Agreements, including Non-Disclosure Agreements, Teaming Agreements, and Royalty or Intellectual Property Licence Agreements.
  • Support the development of Invitation to Tender packs for prospective subcontractors.
  • Maintain and develop commercial and contractual skills and knowledge.
  • Provide contract advice to the management team, project managers, and bid managers.
  • Assess commercial risks and develop plans to reduce risk and increase productivity.
  • Act as commercial process owner, maintain and review commercial processes, policies, and practices, and identify opportunities for continuous improvement.
  • Oversee despatch, shipping, export compliance, and insurance requirements for contractual deliveries and loan items.
  • Provide commercial induction and refresher training and communicate commercial best practice to employees.
  • Provide commercial review and governance at applicable business process phase gates, including sales order processing, customer purchase order processing, review meeting attendance, and maintenance of accurate live tracker records.
  • Establish and maintain knowledge of key Intelliscape contracts, particularly Framework Agreements, and advise the business on their optimal use.
  • Manage monthly Government Commercial Agency Management Information reporting, ensuring accurate financial data alignment and timely submission under framework requirements.
  • Maintain commercial trackers, including warranty obligations, contract expiry, and contract variations, and develop Contract Management Plans and Commercial Risk Summaries for internal stakeholders.
  • Manage Social Value reporting, ensuring accurate data input and timely submission under contract requirements.
  • Liaise with Sales, Finance, and Delivery teams to maintain visibility of commercial support activities across bid and delivery.
  • Lead matters relating to exports, including Export Control, International Traffic in Arms Regulations, and customs procedures.
  • Perform line management duties, including objective setting, pastoral care, professional development, and performance and behavior management, when required.
  • Contribute to and ensure adherence to Modaxo strategy and policy through participation in applicable Modaxo-wide forums.
Desired Qualifications
  • Previous experience in a road or rail transport environment would be beneficial.
  • Previous line management experience is beneficial.
