  • Juris Doctorate Degree required from an accredited American Bar Association (ABA) law school
  • Admission to at least one state bar
  • 4 or more years of mergers and acquisition experience in law firm or corporate legal department
Responsibilities
  • Review Letter of Intent drafts as directed by CEO
  • Work with the M&A Team to maintain and update due diligence list
  • Review data room documents, and advise M&A and opposing counsel as to additional documents needed and any identified issues
  • Draft purchase agreement and related documents and negotiate with opposing counsel
  • Prepare all closing documents, working with other departments as needed to close the transaction and complete mergers
  • As time permits, assist Legal Department with litigation and project claims
  • Perform other duties as assigned
Desired Qualifications
  • Architecture, Engineering, and Construction (AEC) industry experience preferred
  • Experience in litigation or litigation management
