This represents a 73.8% premium to TSR’s closing price on May 14, 2024. BCforward, a major black-owned professional services firm, aims to enhance capabilities and expand business through this acquisition. TSR, Inc. will be acquired by Vienna Parent, formed by BCforward founder Justin Christian. Vienna Sub will purchase all outstanding TSR shares for $13.40 per share, valuing the transaction at approximately $29 million. This represents a 73.8% premium over TSR's closing price on May 14, 2024. The deal is expected to close in Q3 2024, subject to customary conditions. Vienna Parent has secured up to $24 million in credit from First Merchants Bank to finance the acquisition.
