Requirements
  • A Bachelor’s degree in Law and membership in good standing with the Quebec Bar.
  • One to three years of experience in commercial or corporate law.
  • Experience negotiating contracts and handling corporate transactions.
  • Knowledge of environmental law.
  • Excellent knowledge of Quebec and Canadian corporate law.
  • Excellent written and spoken French and English.
  • Ability to manage multiple matters simultaneously in a dynamic environment.
  • Analytical ability, sound judgment, autonomy, and a solutions-oriented approach.
Responsibilities
  • Draft, review, and negotiate a wide variety of commercial contracts, including supplier agreements, sales contracts, leases, joint ventures, and other commercial agreements.
  • Provide practical legal advice to business teams to support daily operations.
  • Identify contractual risks and recommend appropriate solutions.
  • Participate in acquisitions, mergers, business sales, and other strategic transactions.
  • Provide legal support for corporate restructurings, financings, and business development initiatives.
  • Conduct due diligence and participate in preparing transaction documents.
  • Advise business units on applicable environmental laws and regulations.
  • Collaborate with environmental teams to ensure regulatory compliance.
  • Support the management of permits, regulatory obligations, and environmental matters.
  • Ensure compliance with laws, regulations, internal policies, and corporate governance principles.
  • Develop and implement legal risk-management strategies.
  • Advise managers on compliance issues and best practices.
  • Participate in managing disputes, claims, and litigation involving the company.
  • Collaborate with external counsel when required.
  • Provide support on employment and labor-law matters when necessary.
  • Provide legal advice to Canadian and international operations.
  • Collaborate with operations, finance, human resources, procurement, and other corporate functions.
  • Monitor legal developments to ensure the company complies with new regulatory requirements.
