California's largest retail cannabis chain just got a lot bigger, all thanks to the downfall of another giant corporation in the legal marijuana industry. Stiiizy purchased 12 retail stores from the corporate dregs of Gold Flora, a now-collapsed cannabis conglomerate that at one time was a major player in the state's legal industry. Stiiizy bought the previous leases and licenses with a $25 million auction bid on Oct. 23, according to a court order filed in Los Angeles Superior Court. The company officially gained control of the stores on Monday, according to Stiiizy President Tak Sato. "Stiiizy took over 12 Gold Flora stores today. That will give us 58 in California and a total of 61 if you include our 3 stores in Michigan," Sato said in an emailed statement to SFGATE. Stiiizy's meteoric growth in California has turned it into a dominant force in American cannabis. The brand is a favorite in young, urban cannabis culture, with its budget-friendly products, especially its marijuana vapes, topping sales charts for years. Stiiizy's rise has also come with persistent controversy, as the brand has been accused of selling cannabis tainted with illegal pesticides and some of its executives have been accused of running vast networks of illegal sales and stores, allegations that Stiiizy has denied. The $25 million purchase of Gold Flora is a major bet that they can make money where other companies have failed and on the future of California's legal cannabis market, which has seen overall sales contract for years. In fact, the retail giant is growing exactly because of those struggles. Gold Flora was a conglomerate that combined multiple cannabis companies into one juggernaut, including a highly publicized pot startup linked to Jay-Z called the Parent Company, which blew $575 million in cash before being taken over by Gold Flora. During an auction on Oct. 23, Stiiizy placed the highest bid of $26.45 million, according to a court filing. But that bid cost was later reduced by $1.4 million after Stiiizy discovered that retail licenses in San Jose, Costa Mesa and Santa Barbara would not be able to transfer to a new owner, a filing said. A competitor, Sweet Leaf, said in a court filing that its bid of $26.3 million should be considered the new highest bidder after the post-auction reductions on Stiiizy's purchase price because the company should have known the licenses were at risk of not transferring. "Stiiizy (like any other qualified bidder) had months to conduct due diligence and knew that the sale was on "AS IS" terms, and so it should have factored such risks into its bid," attorneys for Sweet Leaf said in their petition to make the company the new highest bidder. A judge in Los Angeles County rejected Sweet Leaf's attempt to stop the sale, according to a court filing, allowing Stiiizy to officially purchase and take over the assets. Stiiizy already had more retail locations than any other company in California, but Monday's purchase will make its position even more dominant. The next closest retail chain is Catalyst cannabis, with 33 locations listed on its website.
