Requirements
  • Have at least 3-4 years of experience as a paralegal, either in house or at a corporate law firm
  • Experience supporting attorneys in corporate transactions
  • Familiarity with foreign entities a plus
  • Demonstrate a track record of outstanding educational and professional achievement
  • Ability to prioritize work effectively and manage deadlines
  • Resourceful, high attention to detail and ability to adapt quickly to changing priorities
  • Self-motivated and able to work collaboratively and manage projects independently
  • Highly organized and comfortable supporting the senior corporate paralegal and multiple attorneys and projects simultaneously
  • High proficiency in Word, Excel and PowerPoint
  • Experience with document management systems a plus
Responsibilities
  • Report to the senior corporate paralegal and assist on a broad range of projects and tasks
  • Prepare corporate entity filings for domestic and foreign entities, including entity formation and qualification documents
  • Draft corporate documents such as resolutions, officer certificates and operating agreements for U.S. and non-U.S. entities
  • Prepare contract drafts (such as non-disclosure agreements and license agreements) on standard templates
  • Review marketing materials
  • Assist with maintaining electronic and hard copy (on-site) legal department files/corporate records
  • Facilitate contract execution process, including signature, notarization and apostille, as applicable, and distribution and mailing of agreements
  • Provide administrative support such as word-processing, filings in document management system, etc.
  • Support attorneys in research and other projects relating to the ongoing operations of multiple global offices
  • Develop standard operating procedures and tracking tools to support the streamlining of department processes
  • Liaise with various departments within the organization as needed
  • Attend in-person and virtual meetings, as assigned
