Requirements
  • Bachelor's degree required; JD a plus.
  • Five years of relevant contract drafting and negotiating experience.
  • Experience in reviewing and negotiating software as a service (SaaS) and other applicable software license agreements.
  • Ability to understand contractual issues, assess risk, craft creative solutions, and provide business-focused advice.
  • Experience working on global contracts.
Responsibilities
  • Draft, review, and negotiate a broad range of commercial agreements, including software license, service level and support services, consulting services, and nondisclosure agreements.
  • Review sales quotes and contracts for accuracy to ensure it matches approved quoting guidelines/practices, adheres to contract and licensing terms, and meets revenue recognition policies.
  • Assist in the development of a contracts playbook and processes to enable consistency in agreements across commonly negotiated terms.
  • Assist in the development and implementation of contract management policies and procedures.
  • Effectively collaborate and communicate across multiple cross-functional teams to resolve issues and incorporate input and recommendations into contracts and related documentation.
  • Support the development and improvement of template agreements, playbooks, and training materials to efficiently meet business objectives in a risk-balanced manner, focusing on clarity, practicality, and plain English drafting.
  • Perform other duties and assignments to support internal stakeholders and enhance and improve processes for the execution of the company's strategies.
  • Establish simplification and automation processes to drive efficiency in the PS organization.
  • Understand and be conversant in basic privacy concepts and laws.
