Requirements
  • A Bachelor's degree and/or paralegal certificate is preferred.
  • A minimum of 3-4 years of corporate paralegal experience is required, preferably in the insurance industry.
  • Experience with state insurance department regulatory and licensing filings is preferred.
  • Strong experience with corporate governance work, including preparation of board of directors meeting materials, written resolutions and consents, and meeting minutes, is required.
  • Strong communication and organizational skills and superior attention to detail are required.
  • Proficiency with Microsoft Office, including Excel, PowerPoint, and Word, and online legal research tools is required.
Responsibilities
  • Provide general corporate governance support, including maintaining signing authorizations, providing secretary certificates and know-your-client documentation, forming and organizing new legal entities, and supporting due diligence and closings for mergers and acquisitions.
  • Prepare annual and quarterly statutory insurance filings, including Jurat pages, interrogatory responses, Schedule Y Part 1 and Part 1A, and organizational charts.
  • Support board meeting preparation.
  • Maintain corporate minute books and related databases and file shares.
  • Assist with drafting board materials, including reports, resolutions, minutes, and written consents, as well as state insurance department regulatory filings such as holding company act filings.
  • Conduct research on corporate governance and insurance regulatory requirements.
  • Manage annual and ad hoc regulatory filings, including Certificate of Authority renewals, annual reports, and notifications of changes in officers and directors.
  • Maintain a digital database of director and officer appointments across numerous legal entities and assist with biographical affidavits and fingerprinting requirements.
  • Respond to internal and external auditor requests for corporate and regulatory documentation.
  • Assist with ad hoc projects and corporate governance, corporate secretarial, and corporate regulatory initiatives.
