Requirements
  • J.D. from an accredited U.S. law school.
  • Member of the State Bar in the applicable location, capable of being licensed through testing or comity, or, in lieu of licensure, capable of registering as an in-house counsel in accordance with the rules of the applicable State Bar.
  • Strong academic credentials, and the highest level of integrity and ethics.
  • 6 or more years of government contracts experience at one or more top law firms, government agencies and/or in-house legal departments.
  • An active U.S. security clearance at the Secret level or higher, or the ability to obtain such.
Responsibilities
  • The Corporate Counsel will provide legal advice, counsel and service to internal business clients concerning legal rights, obligations, and privileges of corporations
  • Coordinate with various legal specialists inside the company to support litigation and internal investigations, intellectual property, export, employment, and other matters impacting the business.
  • Draw up contracts involving leases, licenses, purchases, sales, real estate, employment, insurance, mergers, acquisitions and related matters
  • Keep current on legislative issues, statutes, decisions, and ordinances of quasi-judicial bodies
  • Examine legal data to determine advisability of defending or prosecuting lawsuit
  • Act as agent of corporation in various transactions
  • Advise company regarding concerns for risk assessment
  • Develop, review, or implement company-wide and/or functionally specific training programs
  • Oversee corporate governance matters and its various committees
  • Work with outside counsel to direct activities.
