Requirements
  • BA/BS degree
  • Paralegal certificate a plus (but not required)
  • 8 plus years' experience as a paralegal or a similar role working in a law firm, corporate legal department, or business environment
  • General knowledge of corporate governance, entity formations, contract law, real estate law, real estate financing transactions, corporate transactions or any combination of relevant experience
  • Experience drafting simple governing documents for limited liability companies, limited partnerships and corporations
  • Strong organizational, communication, analytical and critical thinking skills
  • Conduct business professionally and with minimal supervision
  • Enthusiastic team-player attitude with the ability to work easily with others (including senior and junior personnel)
  • Meet deadlines timely and with accuracy
  • Must be able to maintain composure and work well in stressful, high-pressure situations
  • Must be willing to work on site at client's office during normal business hours
  • Proficient with Visio, Microsoft Office Suite, Excel, DocuSign, AdobeSign, SharePoint and other computer software
Responsibilities
  • Act as client's point of contact on all legal matters with client's employees and outside counsel
  • Prepare complex entity structure charts and have an understanding of corporations', limited partnerships' and limited liability companies' structures, including understanding of signature authority in complex structures
  • Draft entity formation documents for real estate funds and programmatic joint ventures and work with service providers to process filings; obtain EINs; prepare entity structure charts, draft operating agreements and consents
  • Review documents to confirm compliance with client's internal guidelines, policies, and procedures
  • Collaborate with client's legal department, other employees and outside counsel on various real estate financing and investment transactions
  • Assist with conducting research in compliance with OFAC regulations and client's internal OFAC policy
  • Coordinate junior legal assistants and assist in training
  • Assist Standish Management employees with document requests needed for fund administration services
  • Perform day-to-day activities related to corporate governance matters
  • Develop policies and procedures to ensure client's evolving needs are met
