Carlyle acquires encryption hardware maker Secturion Systems; sean Berg named CEO. * The purchase marks the first deal for Carlyle's new middle-market aerospace, defense and government platform * Secturion, founded in 2012, makes NSA-certified hardware encryption products * Carlyle's defense holdings have included Booz Allen, MANTECH and Two Six Technologies Carlyle has acquired Secturion Systems, a Utah company that builds National Security Agency-certified hardware encryption products. Carlyle said Monday the deal is the first investment by its middle-market aerospace, defense, government and industrials platform. Terms were not disclosed. Sean Berg has been named chief executive officer of Secturion. Who will lead Secturion Systems under Carlyle? Berg previously served as CEO of Everfox, where he built the company's position in the cross-domain security market. Carlyle said he brings more than 25 years of technology experience spanning military and private sector roles. Josh Falslev remains chief operating officer and Derek Owens remains chief technology officer at Secturion. What does Secturion Systems build? Founded in 2012, Secturion manufactures hardware encryption products that protect classified information. Its technology handles the storage, processing and transmission of that data on airborne, maritime and ground platforms. The company said its portfolio also supports intelligence applications. How does Secturion fit Carlyle's middle-market platform? Carlyle launched the middle-market platform in May, targeting aerospace, defense, government and industrial companies in the United States and Europe. Ian Fujiyama, the firm's head of aerospace, defense and government, serves as chairman. Aaron Hurwitz and Wes Bieligk oversee the effort with dedicated investment teams. Retired Army Gen. Bryan Fenton, a former commander of U.S. Special Operations Command, joined as an operating executive. Fujiyama called Secturion "a compelling fit" for the platform's opening investment, pointing to the company's products and engineering staff. Carlyle's aerospace and defense holdings have included Booz Allen Hamilton, MANTECH and Two Six Technologies. The firm bought MANTECH in 2022 in an all-cash deal valued at approximately $4.2 billion. D.A. Davidson and Wilson Sonsini Goodrich & Rosati served as the exclusive financial adviser and legal adviser to Secturion, respectively. Latham & Watkins represented Carlyle.

In his new role, DeSimone will oversee the company's global technology organisations, including product, engineering and information technology. DeSimone brings over 30 years of executive leadership experience in defence, intelligence, cybersecurity and technology. Most recently, he served as chief executive officer of Nightwing, leading the company through its separation from RTX. O'Brien brings over 30 years of financial leadership experience in aerospace, defence, and communications industries. He most recently served as CFO of Intelsat, where he led financial transformation and strategic growth initiatives. Before that, O'Brien spent 34 years at Raytheon in senior finance roles, including helping lead its merger with United Technologies. As CFO, O'Brien will oversee Everfox's global finance organisation, including financial planning, accounting, treasury, and investor relations.
