Requirements
  • Juris Doctor and licensure by the Texas State Bar.
  • At least 5 years of legal experience.
  • Experience administering technology contracts, including negotiating, developing, reviewing, revising, and amending terms and conditions.
  • Experience with all phases of the contract lifecycle, including bid posting, vendor selection, contract administration, monitoring, and archiving.
  • Experience interpreting and applying laws, regulations, policies, and procedures related to contracting and procurement at an institution of higher education or governmental agency.
  • Commitment to accuracy and attention to detail.
  • Ability to work independently and as a team member.
  • Strong critical-thinking and analytical skills.
  • Excellent oral, written, and interpersonal communication skills.
  • Proficiency with standard office equipment and Microsoft Office products.
  • Ability to manage multiple projects simultaneously, follow through, and meet deadlines.
  • Texas State Bar licensure is required.
  • A criminal history background check is required for finalists.
  • Must be authorized to work in the United States on a full-time basis for any employer without sponsorship.
Responsibilities
  • Provide contract administration for routine and complex technology contracts, including software licenses, end-user licenses, enterprise licenses, software-as-a-service contracts, clickwrap terms, terms of service, privacy policy terms, service-level agreements, data-use agreements, and master agreements for technology services and products.
  • Draft and create contracts for the purchase of goods and services, revenue generation, and nondisclosure.
  • Research, interpret, advise, and provide guidance on contractual obligations, legal risks, and business terms involving FERPA, HIPAA, GDPR, data use, intellectual property, and accessibility.
  • Support and manage at least one direct report responsible for reviewing and negotiating routine technology contracts.
  • Develop and present contract workshops to educate university administrators on current technology contracting policies and procedures.
  • Assist with maintaining and developing policies and procedures related to the administration of technology contracts.
  • Remain up to date on legal and regulatory updates affecting technology contracts.
  • Ensure compliance with applicable Texas and federal laws, Regents' Rules, and university policies.
  • Work with university departments, administration, and attorneys to ensure contracts meet business objectives while complying with procurement and contracting procedures.
  • Apply contract-formation knowledge to independently address a variety of contract issues.
  • Analyze business and legal issues in proposed contracts and consult with the Business Contracts Administrator, legal colleagues, subject-matter experts, applicable departments, and vendors to resolve challenges, achieve business objectives, and manage risk.
  • Coordinate between the Business Contracts Office and Central Procurement for procurement review, the Information Security Office for data-security review, and ADA for disability-accessibility review.
  • Perform other related functions as assigned.
Desired Qualifications
  • An undergraduate or advanced degree in computer science, data science, or mathematics.
  • Knowledge of contract law and commercial contract negotiations.
  • At least 10 years of work experience.
  • Ability to become licensed to practice law in Texas within one year of hire.
  • Previous experience at a Texas institution of higher education or an agency of the State of Texas.
