Requirements
  • A bachelor's or master's degree in business management, finance, operations, strategy, or a relevant discipline.
  • Three to five or more years of experience in M&A roles within the software industry.
  • An established track record as the M&A lead of a successful multi-location business.
  • Experience successfully acquiring businesses globally.
  • Relevant experience in company valuation, project management, acquisition processes, transaction documents, and due diligence, with the ability to lead workstreams in these areas.
  • Strong commercial judgment with the foresight to assess how potential acquisitions will fit within the Portfolio.
  • Strong business acumen with the ability to anticipate business trends and take appropriate actions that benefit the business.
  • Excellent interpersonal skills and clear, proactive communication, including maintaining a steady flow of information, imparting vision to a broad audience, and earning the confidence of others.
  • Analytical and independent working style.
Responsibilities
  • Support the Portfolio Manager in creating the Volaris Portfolio's M&A strategy.
  • Oversee implementation of the M&A strategy to ensure that key objectives are met.
  • Manage the M&A function, including developing repeatable, efficient, and effective M&A workflows, playbooks, and best practices, and extracting learnings through Post-Acquisition Reviews.
  • Lead M&A transactions and serve as the M&A lead advisor.
  • Provide strategic advice, support, and influence for acquisitions across the Portfolio.
  • Deliver strategic M&A support to the Portfolio Manager.
  • Support the purchase agreement negotiation process.
  • Oversee the due diligence process and its assumptions.
  • Provide strategic advice and regular deal-progress updates to key stakeholders.
  • Facilitate agreement on investment memo objectives.
  • Identify and monitor target companies, maintain dialogue with their owners, and coordinate and execute acquisition transactions through internal and external processes.
  • Develop and maintain the M&A pipeline, source and develop new deal opportunities, and convert targets into actionable opportunities through Corporate Development, Business Units, and referral channels.
  • Work with internal and external teams during M&A processes, including due diligence, negotiations, and integrations.
  • Lead the due diligence process and develop and maintain key master files for acquisitions.
  • Work with the legal team to manage and negotiate non-disclosure agreements, confidentiality agreements, and transaction documentation with target companies.
  • Produce presentation materials summarizing investment opportunities and recommendations for the Volaris and Volaris leadership teams.
  • Apply best practices to drive successful business acquisitions for Volaris.
  • Work closely with the Portfolio Manager and acquired businesses to develop detailed 30/60/90-day integration plans and achieve the outcomes stated in the Investment Memo.
  • Work with the Portfolio Manager to build acquisition investment theses.
  • Travel to offices in other locations for diligence and initial integration support.
  • Perform other reasonable duties as required.

Volaris Group has acquired Matrix Booking Limited, a UK-based provider of meeting room and desk booking software for government departments, NHS organisations, and other public sector bodies. The company's software helps organisations manage workspace usage, including meeting room reservations and desk booking across distributed estates. Matrix Booking was acquired from the Matrix Booking Employee Ownership Trust. Volaris Group has acquired Biodiv-Wind, a French market leader in real-time bird and bat detection systems for onshore wind farms. The company combines hardware and software to help wind-farm operators comply with environmental regulations. Biodiv-Wind filed its first patent in 2008 and began commercial operations in 2015. It now has over 700 systems installed, primarily in France, with presence in Europe and Latin America.
