Summary:
The Vice President of M&A Integrations will be responsible for overseeing the technical evaluation and integration of all acquisitions. This senior role requires a leader with deep expertise in technology due diligence, systems integration, and project management within a fast-paced, high-growth environment. The successful candidate will work closely with cross-functional teams, including IT, operations, finance, legal, and the executive leadership team, to ensure that technology strategies are aligned with business objectives and that the integration process is executed seamlessly, and acquired value is maintained.
Key Responsibilities & Activities:
M&A Technology Due Diligence:
- Provide leadership of the technology due diligence process for potential acquisitions, including the assessment of IT infrastructure, applications, cybersecurity, data management, and technology-related risks to business operations.
- Identify potential integration challenges and develop strategic plans to address them.
- Collaborate with the M&A Deal team to evaluate the technical capabilities and synergies of target companies, providing critical insights that influence deal structure and negotiations.
- Ensure all technology-related aspects of the deal are thoroughly analyzed, documented, and communicated to the executive leadership team.
Technology Integration Strategy:
- Develop and lead the execution of comprehensive technology integration plans for acquired companies, ensuring alignment with the company’s overall technology strategy and business goals.
- Oversee the migration of data, systems, and applications, ensuring minimal disruption to business operations and client service.
- Manage and prioritize multiple integration projects simultaneously, ensuring that timelines, budgets, and quality standards are met.
- Establish integration metrics and KPIs to measure success and report progress to senior leadership.
Technology Integration Delivery:
- Develop and lead the execution of comprehensive technology integration plans for acquired companies, ensuring alignment with the company’s overall technology strategy and business goals.
Post-Integration Support and Transition to Steady-State
- Ensure post-Go-Live issues and administrative clean up is performed, any necessary rework addressed.
- Supervise transition of deals from MAI to Steady-State run operation, ensuring any outstanding action items and long term considerations are planned.
Leadership & Team Management:
- Build, mentor, and lead a high-performing M&A technology integration team, fostering a culture of excellence, collaboration, and continuous improvement.
- Work closely with internal IT, cybersecurity, and project management teams to ensure smooth integration and transition of acquired companies.
- Serve as a key point of contact between the technology department and other functional areas, ensuring alignment and collaboration across the organization.
Stakeholder Management:
- Engage with senior executives and other key stakeholders to communicate integration progress, challenges, and risks, ensuring transparency and proactive problem-solving.
- Partner with M&A executives, technology, human resources, legal, cyber security, compliance, and finance teams to ensure all technology aspects of the integration comply with regulatory requirements and financial objectives.
- Liaise with external vendors, consultants, and partners as needed to support integration efforts.
Continuous Improvement & Innovation:
- Stay up-to-date with the latest technology trends and best practices in M&A integration, ensuring the company remains at the forefront of technological innovation.
- Identify opportunities to streamline and optimize the integration process, leveraging automation, tools, and best practices.
- Contribute to the development of the company’s long-term technology roadmap, ensuring that M&A activities support the overall vision and growth objectives.
Qualifications:
- Bachelor’s degree in Information Technology, Computer Science, Engineering, Business, or a related field; MBA or relevant advanced degree preferred.
- 10+ years of experience in technology leadership roles, with a focus on M&A due diligence and technology integration.
- Proven track record of successfully leading technology integrations for multiple acquisitions within a fast-paced environment, ideally in the insurance, financial services, or a related industry.
- Deep understanding of IT infrastructure, application management, cybersecurity, and data integration.
- Strong project management skills, with experience managing complex, cross-functional projects and budgets.
- Excellent leadership, communication, and stakeholder management skills.
- Ability to think strategically and execute methodically, balancing short-term needs with long-term goals.
- Experience with cloud platforms, ERP systems, CRM systems, and other enterprise technologies commonly used in the insurance industry.
- Strong analytical and problem-solving skills, with a focus on delivering results.
