Requirements
  • A Juris Doctor degree from an accredited law school and membership in good standing with a United States state bar association are required.
  • At least 5 years of experience is required.
  • Experience drafting technology and intellectual property agreements is required.
  • Experience advising on commercial technology offerings, software licensing, software as a service, hardware, data rights, or intellectual property considerations in government contracting is required.
  • Candidates must be willing and able to obtain and maintain a Top Secret security clearance.
  • Applicants must meet eligibility requirements for a United States Government security clearance; only United States citizens are eligible for a security clearance.
Responsibilities
  • Provide legal guidance to the Chief Technology Officer and sales organizations to develop strategies that advance the technology business.
  • Negotiate and draft contracts and license agreements with private-sector partners and federal clients, including software as a service agreements, technology licenses, intellectual property agreements, and channel partner agreements.
  • Advise on technology product development, intellectual property, compliance, data rights, and related legal considerations regarding the company's technology solutions.
  • Advise on Other Transaction Authorities, Cooperative Research and Development Agreements, Small Business Innovation Research and Small Business Technology Transfer programs, and other non-traditional federal procurement mechanisms.
  • Advise on compliance issues including cybersecurity, supply chain requirements, domestic sourcing preferences, data rights, intellectual property protection, and pricing rules.
  • Monitor and implement legal and regulatory developments affecting government procurement of emerging technology.
  • Understand and advise on the company's relationship with federal government customers and provide advice and counsel supporting business objectives.
Desired Qualifications
  • Experience with emerging technology markets, including artificial intelligence and machine learning, cloud, cybersecurity, sensors, and autonomy.
  • Knowledge of cybersecurity requirements such as Federal Risk and Authorization Management Program, Cybersecurity Maturity Model Certification, or International Traffic in Arms Regulations and Export Administration Regulations.
  • Prior experience supporting a fast-paced, growth-oriented business.
