Requirements
  • JD required with a strong academic background
  • 3-6 years of securities and corporate experience, ideally with some exposure to the alternative investment management industry, as well as externally managed companies
  • Significant collaboration with colleagues across multiple functions, including those in senior and executive leadership
  • Proven record of accomplishment in relationship management with internal and external stakeholders
  • Superior communication skills and a demonstrated ability to create content to specified audience
  • Strong client service orientation

Responsibilities
  • Assist with the drafting and filing of all securities and disclose documentation
  • Support all ’33 Act matters, including annual prospectus re-write and prospectus supplements for products in a continuous offering
  • Support all ’34 Act filings, including 10-K, Qs, 8-Ks, Form 3/4s, etc.
  • Support non-traded and/or 1940 Act funds
  • Manage the following corporate governance items: Board meetings, Annual proxies, Annual SH meetings, Advisory Agreement Issues, Equity Incentive Plans, Valuation Issues, CFTC and ’40 Act compliance, Governance related to investment committee meetings
  • Review announcements, press releases, investor presentations, investor and board communications and other materials (including preparing appropriate materials as necessary)
  • Supervise corporate paralegals
  • Remain up-to-date on relevant corporate governance and securities law developments
