Mubadala Agrees to Sell Minority Stake in CoolIT to Ecolab in KKR-led $4.75 Billion Transaction

Press Releases Mubadala agrees to sell minority stake in CoolIT to Ecolab in kkr-led $4.75 billion transaction. 26 Mar 2026 Abu Dhabi, UAE In 2023, Mubadala invested in CoolIT alongside KKR, which invested through its Global Impact Fund II. A 25-year pioneer in liquid cooling, CoolIT designs and manufactures advanced systems that enable sustainable data center growth as AI-driven compute demand increases. Abu Dhabi, UAE - 26 March 2026: Mubadala Investment Company ("Mubadala"), an Abu Dhabi-based global investor, today announced that it has entered into a definitive agreement to sell its minority stake in CoolIT Systems ("CoolIT" or "the Company"), a global leader in liquid data center cooling, to Ecolab as part of a transaction valued at $4.75 billion led by KKR. In 2023, Mubadala invested in CoolIT alongside KKR, which invested through its Global Impact Fund II. A 25-year pioneer in liquid cooling, CoolIT designs and manufactures advanced systems that enable sustainable data center growth as AI-driven compute demand increases. While cooling can account for up to 50% of total facility energy use in traditional air-cooled data centers, liquid-cooled data centers use ~30-40% less energy for cooling while also reducing water consumption as a closed-loop system. Today, leading hyperscalers and data center operators rely on CoolIT's liquid cooling technologies to improve energy efficiency and support higher-density AI infrastructure across more than 300 data centers globally. "When Mubadala invested in CoolIT three years ago, we had strong conviction that liquid cooling would become a critical enabler of more sustainable digital infrastructure. Today, CoolIT has established itself as a leading global player in this technology, as the demand for energyefficient datacenter solutions accelerates with the rise of AI," said Abdulla Mohamed Shadid, Head of Energy and Sustainability, Private Equity at Mubadala. "Our successful partnership with KKR and the CoolIT management team is a testament to the value that can be created through active management and aligned ownership, and we are proud of what has been achieved together. We are confident that CoolIT will continue to build on this momentum as it enters its next chapter." CoolIT has delivered significant operational improvements and growth across the business, driven by a strong ownership mindset, continued product innovation, and expanded relationships with hyperscale customers. Since 2023, the Company has expanded its manufacturing footprint to more than 300,000 square feet, increased coolant distribution unit (CDU) capacity by 25x, and doubled its workforce, adding more than 300 jobs. CoolIT has positioned the business to deliver projected ~4x revenue growth and ~10x EBITDA growth through 2026. "The acquisition of CoolIT by Ecolab, an industry leader in water management, will be an outstanding outcome for our customers, employees and shareholders alike", said Jason Waxman, CEO of CoolIT Systems, "Our support and partnership with Mubadala helped to transform CoolIT into a world-class provider of liquid cooling solutions for hyperscale computing. Our commitment to building a strong business in UAE will continue long after the acquisitions closes". By 2030, data centers are projected to consume 945 TWh, surpassing the combined current usage of Germany and France, and over double 415TWh in 2024, while their water use is projected to reach 450 million gallons per day - equivalent to the daily use of ~5 million people - up from 292 million gallons in 20221. In 2025, CoolIT's solutions delivered approximately 2.18 billion kWh in energy savings, enough to power approximately 200,000 homes for one year. The transaction, which is subject to customary regulatory approvals, is expected to close in Q3 2026. The Water Sustainability Summit panel at Sustainability LIVE.

The Water Sustainability Summit panel at Sustainability LIVE. March 19, 2026 Join sustainability experts and leaders at Sustainability LIVE: The US Summit to learn about protecting water resources and water positivity More than two billion people across the world lack access to safe water and 3.4 billion people lack access to safe sanitation. Contaminated water and poor sanitation are linked to many diseases including cholera and dysentery, showing the importance of safe water, especially in underserved areas. On the journey to providing safe water to global communities, many companies have launched initiatives and partnerships to advance water stewardship. Join Sustainability Mag at Sustainability LIVE: The US Summit to hear from sustainability leaders on The Water Sustainability Summit panel. About the panel. Sustainability LIVE: The US Summit brings together the world's top sustainability experts to discuss environmental issues and solutions. The Water Sustainability Summit, taking place on 22 April 2026, will explore how organisations can move beyond efficiency and towards water positivity. It aims to tackle how water scarcity and pollution are becoming pressing global risks, requiring urgent and innovative responses. The panel will feature sustainability leaders from Ecolab, GRUNDFOS, Pentair and the Water Environment Federation. Speakers will highlight emerging frameworks, partnerships and technologies to ensure water security while creating shared value for communities and ecosystems. Ecolab's water partnerships. During the World Economic Forum's 2026 Annual Meeting in Davos, Ecolab partnered with other organisations to launch Get Blue, a global movement aiming to solve the global water crisis. Ecolab partnered with Water.org, Gap, Amazon and Starbucks to launch the initiative, with each company providing products, content and experiences to help fund water access. The movement is designed to mobilise brands, creators, consumers and capital towards providing clean water. Emilio Tenuta, SVP and Chief Sustainability Officer at Ecolab, will be speaking on the Water Sustainability Summit panel at Sustainability LIVE. He will share insights about Ecolab's partnerships including Get Blue, as well as discussing solutions for global water access and sanitation. Emilio said on LinkedIn: "Get Blue is designed to enable consumer and B2B companies to treat water as a core operating and market issue. "Sustainability Mag know that when Sustainability Mag help customers use water smarter, Sustainability Mag unlock growth, value and impact. "By joining forces with global leaders to expand access to safe water, we can tackle global water scarcity and strengthen the communities in which we all operate." How GRUNDFOS cuts its water use. Courtney Tripp, US Sustainability Director at GRUNDFOS is speaking at Sustainability LIVE: The US Summit. She will share lessons from her leadership at the water solutions company, which was the first of its kind to have its targets validated by the SBTi. In 2024, GRUNDFOS achieved 93% of its water reduction target - to reduce withdrawal by 50% compared to a 2008 baseline - through water recovery initiatives, saving both water and energy. The company also aims to deliver water to communities around the world, working closely with governments, water service providers, NGOs and humanitarian organisations to deliver vital water access services. Pentair's water positivity targets. Pentair has set a target to restore 100% of the water volume withdrawn by its manufacturing sites in high water-stressed areas annually. It plans to expand its water stewardship strategy to include positively impacting these areas through restoration and replenishment of water resources. Pentair's Vice President Sustainability, Oriana Raabe, is set to speak on The Water Sustainability Summit panel, sharing her expertise on water stewardship and solutions for the global water crisis. About the Water Environment Federation's work. John Ikeda, Chief Mission Officer at the Water Environment Federation, will discuss methods for building a circular water economy. The Water Environment Federation focuses on supporting workforce development and empowering the next generation of water sustainability leaders and convening cross-sector partnerships to drive water action. John says on LinkedIn: "Water systems sit at the intersection of climate resilience, public health, economic development and environmental stewardship. "My work focuses on helping the water sector navigate that complexity towards a more resilient and sustainable future. "I'm motivated by practical systems change, bridging together practitioners, policymakers, innovators and communities to strengthen the essential services that underpin everyday life."
