  • Autonomous Contract Management resolves 20-year stagnation by handling intake, review, and insight tracking end-to-end.
  • Triple revenue growth and $40M debt financing support acquisitions to reach $100M annual recurring revenue.

What critics are saying

  • Ironclad and Icertis capture end-to-end expansion, eroding Word-only advantage as clients consolidate CLM vendors.
  • LegalOn and Robin AI displace Spellbook in UK, Australia, Canada, and Singapore by meeting stricter data residency mandates.
  • OpenAI GPT-5 dependency creates existential risk if licensing costs rise 40% or access is restricted.

RBC provides $40M debt financing to AI legal tech startup Spellbook for acquisitions

Spellbook, a St. John's-based legal AI software startup, has secured $40 million in debt financing from Royal Bank of Canada to acquire struggling competitors in the generative AI market. The company, officially named Dialog Enterprises Inc., launched one of the first generative AI tools for lawyers in 2022. Spellbook's AI copilot, powered by large language models including OpenAI's GPT-5, helps lawyers and corporations draft, edit and review legal contracts within Microsoft Word. The company tripled its revenue in 2025 and expects to reach $100 million in annual recurring revenues by year-end, according to CEO Scott Stevenson. The firm serves over 4,000 customers across 80 countries, including Nestlé, Dropbox and eBay. It recently signed a two-year partnership with the Canadian Bar Association to provide AI tools to 40,000 legal professionals.
