Contracts Specialist
Location Requirement: Ottawa, ON based position
Why you?
You are a highly organized and driven contracts specialist based in Ottawa, with extensive experience in reviewing, redlining and negotiating complex commercial agreements, including master services agreements, license agreements, partner agreements and NDAs. You have significant working knowledge of the typical commercial terms found in a contract and are comfortable drafting and editing documents.
You like researching points of law and thinking about ways to resolve complex contractual issues. You have no difficulty in identifying legal risks in an agreement and proposing adequate changes to address those risks while preserving the business interest of both parties. You have superior communication skills in English, both in writing and orally, and are confident to join and/or lead legal calls with Pythian customers, vendors and partners, in order to explain Pythian’s rationale for its positions and to better understand the other party’s concerns.
You are detail-oriented and enjoy working in a fast-paced environment. You are open to learn and implement contract review practices that may be different from those you have learned throughout your career. You are creative and love finding solutions to bring two apparently conflicting positions to a common ground.

What will you be doing?
- Reporting to General Counsel, you will act as a subject matter expert for all contracts-related needs, which includes:
- Collecting factual information about each file assigned to you, in order to assess each contract in light of an accurate and complete background.
- Reviewing, analyzing and redlining different types of agreements.
- Identifying legal risks in contracts and preparing executive summaries with your proposed solutions.
- Communicating with internal and external stakeholders to bring a specific file to successful resolution.
- Advising and coaching internal teams and stakeholders on contract-related activities.
What do we need from you?
- Bachelor’s degree in Business or Law or a Legal Diploma, or an equivalent combination of education and relevant work experience.
- If you are licensed as a lawyer in a common law jurisdiction in Canada or in the US, this is an asset.
- Knowledge of and experience with Google resale business, asset.
- A minimum of 3 years experience in contract review, drafting and negotiation.
- Experience with non-disclosure agreements, commercial sales agreements, and vendor agreements, preferably in the IT space.
- Excel at building and maintaining professional relationships with business partners internally.
- Ability to remain efficient and extremely organized while handling a high volume of work.
- The ability to handle multiple tasks, manage own workload, meet established deadlines, as well as excellent administrative skills and a strong attention to detail.
- Demonstrated initiative and ability to seek out answers to questions and problems.
- Ability to deal with highly confidential and sensitive information in an appropriate manner.
- A strong customer service and team player mindset with effective communication skills (verbal and written).
- Strong working knowledge of Microsoft products (emphasis on Word and Excel) and G-Suite products.
