Requirements
- 7+ years of relevant securities experience, including experience working with large public technology companies
- A combination of both in-house and major law firm practice experience is preferred
- In-depth substantive expertise of the securities laws and the 1933 and 1934 Acts
- Experience managing debt and equity capital markets offerings
- High ethical standards and ability to maintain the confidentiality of non-public corporate information
- Membership in at least one state bar (preferably California or New York)
Responsibilities
- Work collaboratively to prioritize goals and manage the legal aspects of being a public company
- Work on SEC filings and correspondence
- Draft and negotiate agreements in connection with capital markets transactions and work with Treasury and Finance teams in managing debt and equity offerings and securitization transactions
- Work with Block's Finance, Accounting, and Stock Administration teams on various corporate initiatives
- Help administer Block's Insider Trading Policy and 10b5-1 plans
- Help with 1940 Act matters
- Ensure compliance with our credit facility, lines of credit and warehouse financing facilities
- Manage and build out a team
- Help with special corporate projects
