Requirements
  • A J.D. degree from an American Bar Association-accredited law school, bar admission, and a strong academic record are required.
  • Admission to the California bar or registration as in-house counsel in California is required.
  • At least five years of combined large law firm and in-house experience in a sophisticated corporate setting are required.
  • Significant experience with corporate and transactional matters, corporate governance, and commercial transactions is required, including drafting and reviewing agreements and making filings with state and federal agencies.
  • Proficient computer skills in a Microsoft Windows environment, including Word, Excel, and PowerPoint, are required, along with database management and record-keeping skills.
  • Proficiency or familiarity with corporate entity and partnership terminology and structures is required.
  • The role requires the ability to work in person in Henderson, Nevada.
  • The role requires strong organizational, prioritization, time-management, analytical, judgment, confidentiality, communication, and independent-work skills, including the ability to manage multiple transactions and meet deadlines.
Responsibilities
  • Manage and close transactions involving the opening of dental and medical offices or entire regions across various jurisdictions, coordinating with operations partners, healthcare partners, and senior business executives.
  • Work with the tax and finance team to structure complex transactions.
  • Draft, negotiate, manage, and advise business teams on complex contracts, including software licensing agreements, Software as a Service agreements, work orders, outsourcing arrangements, strategic alliances, vendor agreements and renewals, non-disclosure agreements, provider agreements, insurance contracts, and other commercial agreements.
  • Advise People Services, Human Resources, Benefits, Recruiting, Marketing, Tax, Procurement, and other departments on legal, compliance, and related issues.
  • Advise the organization on regulations related to dentistry and healthcare.
  • Review and guide legal compliance for new initiatives and existing practices with the operations and marketing teams.
  • Manage legal projects through successful completion, including multiple-transaction initiatives and implementation of broad new legal structures.
  • Perform online research and conduct electronic filings on legal and business-related matters.
  • Handle confidential information with a high degree of care.
  • Interact and communicate effectively with management, executives, internal clients, and outside counsel.
  • Perform other duties assigned by management.
Desired Qualifications
  • Familiarity with Salesforce, Smartsheet, DocuSign CLM, or a similar contract lifecycle management system is preferred.
