  • 10+ years’ experience:  Working with senior management teams on mergers and acquisitions; significant acquisition experience, with expertise in project management, valuation, due diligence, contract negotiation, and integration planning.
  • Four-year degree:  business, finance, or related field.
  • MBA or equivalent education preferred.
  • Experience in wholesale distribution preferred.
  • Knowledge of acquisition financial analysis methods and techniques.
  • Knowledge of M&A concepts, practices, and procedures.
  • Knowledge of M&A activities and various deal types, including transformational deals, tuck-ins, and joint ventures.
  • Knowledge of legal issues and financing options involved with M&A activities, including Securities and Exchange Commission (SEC) regulations.
  • Demonstrated customer focus and interpersonal communications skills.
  • Analytical and critical thinking skills.
  • Excellent financial modeling valuation skills.
  • Strong communication skills, with a demonstrated ability to present to senior levels of an organization.
  • Full cycle project management skills.
  • Strategy development and planning skills.
Responsibilities
  • Cultivate, nurture, and maintain meaningful relationships with external advisors, investment bankers, legal counsel, and other key stakeholders involved in the M&A process.
  • Successfully cultivate targets, meet with all levels of target companies, and articulate Graybar’s values, strategy, and vision. Build long-term relationships with potential sellers and update various executive leaders regularly on progress.
  • Provide guidance to and collaborate with cross-functional teams on all phases of M&A activities, including targeting, valuation, due diligence, contract negotiation, and integration planning.
  • Evaluate strategic fit, rationale, valuation, assumptions, and other factors to propose recommendations on how to proceed at all stages of the M&A process.
  • Support deal structuring, negotiation, and documentation processes. Ensure alignment with strategic objectives and risk mitigation strategies.
  • Collaborate and partner with cross-functional teams to develop post-acquisition integration plans. Identify synergies, integration risks, and key milestones to facilitate a smooth transition and maximize value realization post-transaction.
