General Counsel

We are a rapidly growing global security services company specializing in cyber security and cryptocurrency solutions. Our team consists of ethical hackers and security experts dedicated to providing top-notch protection and innovative solutions to our clients. As a founder-led and private equity-owned startup, we are looking to expand our international workforce and are seeking a highly skilled General Counsel to join our dynamic team.

Position Summary: The General Counsel will be responsible for overseeing all legal aspects of our operations, ensuring compliance with relevant laws and regulations, and providing strategic legal guidance to facilitate our growth and innovation. This role will focus on contracts, corporate governance, tax issues, and international legal matters related to technology, cybersecurity, and cryptocurrency.

Key Responsibilities:

1. Legal Guidance and Strategy:

   • Provide legal support and strategic guidance to the executive team and board of directors on corporate governance, regulatory compliance, and risk management.

   • Advise on legal issues related to the startup environment, including funding, equity, and private equity ownership.

2. Contract Management:

   • Oversee the drafting, negotiation, and execution of sales contracts, partnership agreements, and other legal documents.

   • Ensure contracts comply with relevant laws and company policies while protecting the company’s interests.

3. Compliance and Regulatory Affairs:

   • Monitor and ensure compliance with international laws and regulations, particularly in the technology and cybersecurity sectors.

   • Stay updated on changes in legislation related to cryptocurrency and its implications for the business.

4. Tax Matters:

   • Provide guidance on tax implications of business transactions and ensure compliance with local and international tax laws.

   • Collaborate with external tax advisors to optimize the company’s tax strategy.

5. Intellectual Property:

   • Manage the company’s intellectual property portfolio, including patents, trademarks, and copyrights, ensuring adequate protection for innovations.

6. Dispute Resolution:

   • Handle any disputes, litigation, or claims involving the company, including working with outside counsel when necessary.

7. Training and Development:

   • Develop and deliver training programs for employees regarding legal compliance, contract management, and ethical business practices.

8. Secretary to the Board of Directors:

   • Undertake all responsibilities as Secretary to the Board of Directors

9. Support International Operations:

   • Assist in navigating the legal landscape of international markets as the company expands its global footprint.

Qualifications:

• Juris Doctor (JD) degree from an accredited law school.

• Admission to practice law in at least one jurisdiction.

• 7+ years of relevant legal experience, preferably in a technology-focused startup environment.

• Strong background in contract law, corporate governance, and compliance, with experience in tax issues.

• Familiarity with cybersecurity and cryptocurrency regulations is highly desirable.

• Excellent negotiation, communication, and analytical skills.

• Ability to work in a fast-paced, dynamic environment and handle multiple priorities.
