Nomad Foods reported second quarter 2026 results showing reported revenue decreased 3.1% to €724 million, with organic revenue declining 2.9%. NetClass Technology issued 100,000 Class B ordinary shares to Dragonsoft Holding Limited on 5 August 2026 at $2.69 per share, totalling $269,000. Dragonsoft is wholly owned by Dr Jianbiao Dai, NetClass's CEO, chairman, and director. Following the issuance, Dragonsoft holds all outstanding Class B shares, representing 77.93% of total voting power across both share classes. This creates significant concentration of control, with the CEO holding dominant power over major corporate decisions through his investment vehicle. Nomad Foods has increased commitments under its RCF by €105 million, bringing the total facility size to €280 million. The transaction also included an €800 million senior secured notes offering due 2033, the proceeds of which were used to refinance the company's existing senior secured notes due 2028. Nomad Foods Limited announced that its indirect subsidiary, Nomad Foods Bondco Plc, intends to offer €800 million in senior secured notes due 2033, subject to market conditions. The company plans to use the proceeds to refinance its existing €800 million senior secured notes due 2028.
