Requirements
  • Juris Doctor degree from a reputable law school.

Responsibilities
  • Advise the board of directors on legal matters, corporate governance best practices, and fiduciary responsibilities.
  • Maintain corporate records, including minutes, bylaws, and shareholder agreements.
  • Oversee equity issuance, stock option plans, and cap table management.
  • Draft, review, and negotiate SaaS agreements, including Master Service Agreements (MSAs), Service Level Agreements (SLAs), and Data Processing Agreements (DPAs).
  • Negotiate and manage contracts with vendors, suppliers, and partners.
  • Handle legal aspects of strategic partnerships and collaborations.
  • Ensure compliance with data privacy laws (e.g., GDPR, CCPA) and advise on data protection practices.
  • Act as Data Protection Officer.
  • Monitor and ensure compliance with industry-specific regulations, such as fintech, healthcare, or other vertical-specific requirements.
  • Oversee employment law compliance, including drafting employment agreements, managing disputes, and handling issues related to employee classification.
  • Manage initial incorporation and ongoing requirements of foreign subsidiaries as required.
  • Manage the company's intellectual property portfolio, including patents, trademarks, and copyrights.

  • Lead or support legal due diligence in M&A transactions, including drafting and negotiating purchase agreements.
  • Assist in the legal aspects of post-merger integration, such as contract assignments and employment issues.
  • Develop and implement internal policies related to legal, regulatory, and compliance matters.
  • Conduct training for employees on legal and compliance issues, such as anti-harassment, data privacy, employee stock option plan, and IP protection.
  • Serve as a strategic advisor to the CEO and executive team, providing guidance on legal and business strategy as well as product development.
  • Support growth initiatives, including new market entries, product launches, and international expansion.
  • Manage relationships with regulatory bodies and government agencies; build up and manage lobbyist program in collaboration with CEO and close alignment with revenue organizations.
  • Stay up-to-date with changes in relevant laws and regulations, and ensure the company’s compliance.
  • Manage relationships with external legal counsel, including selecting and retaining law firms for specialized matters.
  • Oversee legal budgets and manage legal costs effectively.
