The Legal Affairs Associate, who will be part of the Real Estate Legal team, will be responsible for the following tasks:
Work closely with internal legal team and external legal advisors on a full range of legal issues facing Bain Capital’s holding company, its investment advisers, affiliated funds and portfolio companies.
Oversee entity management – manage formations, dissolutions, name changes and structure chart updates.
Maintain legal and corporate records.
Assist with the KYC process – completion of forms, structure charts, document collection, notarization, apostilling and responding to follow up questions from counterparties.
Work with outside counsel to coordinate signature pages and organize deal transaction documents and closing binders.
Contribute to the tracking, drafting, and filing of SEC and other regulatory securities filings as needed.
Review and process NDAs and various contracts.
Organize and review quarterly/annual audit with partners to maintain compliance.
May be requested to perform other duties not mentioned above.
Bachelor’s Degree with a strong academic background.
Paralegal Certificate helpful but not required.
Minimum of two years of business or legal experience; experience at a major law firm, company or in-house at an investment firm is a bonus.
Strong interpersonal skills with capacity to interact with key partners at our external law firms and personnel across all levels of the firm.
Excellent project management and organizational skills; ability to prioritize multiple projects with high attention to detail and work under tight deadlines; strong sense of ownership and follow-through skills.
