US-based Apogee Enterprises to acquire Latvian company Groglass.

US-based Apogee Enterprises to acquire Latvian company Groglass. Latvian high-tech company Groglass, which develops and manufactures innovative anti-reflective glass coatings, is set to become part of US-based Apogee Enterprises, strengthening its global position in glass coating technologies. Apogee Enterprises, Inc. (Nasdaq: APOG), a global leader in innovative coating materials and a leading provider of architectural and building products and services, has announced that it has entered into an agreement to acquire Latvian company Groglass. The transaction is valued at €62.5 million, including €10 million in additional consideration payable if Groglass achieves certain financial targets over a three-year period. Apogee is headquartered in the United States and is a publicly traded company. Based in Riga, Groglass is a European leader in anti-reflective and UV-protective glass coatings. Its innovative glass solutions are widely used in museums, electronics, architecture and other applications around the world. The company employs 190 people and combines strong research and development (R&D) capabilities with advanced manufacturing and export expertise. Groglass' product portfolio includes premium brands such as Artglass, known for exceptional optical clarity and durability. "The addition of Groglass strengthens our position in key global markets by complementing Apogee's capabilities with unique glass coating technologies and strong R&D expertise. This will enable us to expand into new markets and provide customers with even more advanced solutions," says Don Nolan, President and CEO of Apogee Enterprises. Riga to remain a strategic hub for innovation and manufacturing. The transaction will also support continued investment in innovation, people and manufacturing operations in Riga. Groglass is expected to remain an important R&D and manufacturing hub within the Apogee group. "Joining Apogee gives Groglass the opportunity to become part of a financially strong, publicly traded company with a long-standing track record of investment, innovation, operational excellence and people development. As part of Apogee, Groglass will gain access to additional resources, expertise and global opportunities that will accelerate the company's growth," says Sergejs Kostjučenko, CEO of Groglass. "More than 20 years ago, I began this journey with the belief that it was possible to build a high-value manufacturing business in Latvia focused on exports. This was made possible by Latvia's strong scientific foundation. On this basis, Groglass was built. At Apogee, we have found a partner that wants to continue developing this scientific and manufacturing foundation in Latvia together with our people and technologies. This transaction demonstrates that by bringing science, technology development and manufacturing together, it is possible to build a world-class technology and manufacturing company in Latvia," says Sasha Kelberg, Founder of Groglass. By combining the knowledge, experience and technological expertise of both companies, the partnership will support the development of new solutions for the protection and preservation of works of art and cultural heritage, as well as other specialized glass surface products for customers worldwide across the architecture and electronics sectors. The sellers were advised by leading financial advisor Oaklins, which also approached potential buyers and led the negotiations. Law firm COBALT provided legal counsel. The transaction is expected to close by November 2026.

PMC files amended lawsuit against Apogee, Wausau and Viracon over defective glass.

PMC files amended lawsuit against Apogee, Wausau and Viracon over defective glass. By USGlass Magazine - August 06, 2026 - 4 min PMC Property Group has filed an amended complaint against Apogee Enterprises Inc. and its subsidiaries, Wausau Group and Viracon Inc., alleging the defendants sought to avoid responsibility after defective glass was installed in three high-rise residential buildings in Philadelphia. The amended complaint, filed in the United States District Court for the Eastern District of Pennsylvania, accuses the defendants of supplying and manufacturing defective window systems in the Franklin Tower, Riverwalk Tower I and Riverwalk Tower II in City Center Philadelphia. PMC alleges that once the glass started failing, the defendants "stuck their heads in the sand, did everything in their power to avoid accountability and pretended to know nothing about their own dangerous products and the harm they are causing," note court documents. The latest filings are a continuation of a long-running dispute between the real estate development firm and the defendants. PMC's amended complaint brings Viracon into the fold after a Pennsylvania state court denied its request to add Viracon to an earlier lawsuit. Court documents indicate that Viracon manufactured "at least some" of the insulating glass units (IGUs) that Wausau used in the window systems supplied to PMC. Wausau was paid roughly $50 million to design, engineer, fabricate and supply window systems for the three glass-skinned residential towers. Amended Complaint Adds Viracon, Alleges Coordinated Effort to Avoid Responsibility PMC claims the IGUs manufactured by Viracon contained glass that allegedly shattered spontaneously in dozens of windows throughout the towers. The developer states the failures are due to nickel sulfide contamination. When confronted with the evidence, PMC argues that Wausau drew a "hyper-technical distinction between IGUs and glass, insisting that Viracon manufactures IGUs, not glass." PMC states that when it asked Wausau to honor its express warranties, Wausau refused, claiming that it did not manufacture the glass and was not responsible for the nickel sulfide inclusions. When asked who manufactured the glass, PMC notes that Wausau officials said they had no knowledge of the manufacturer, even though PMC alleges its sister company, Viracon, manufactured the IGUs containing the glass. PMC then turned to Viracon for answers, which allegedly stated that it "could not 'conclusively identify' the source of the glass it used to make the IGUs." "This is a coordinated effort by affiliated entities to ensure that no one within the Apogee family is held accountable for the defective products they are selling into the construction marketplace," claims PMC in court filings. "Apogee, as the corporate parent that orchestrated, profited from and directed the conduct of both Wausau and Viracon, bears ultimate responsibility. The three companies are alter egos, using their corporate form as a sham to sell dangerous products and then avoid liability. Upon information and belief, the three companies also intermingle assets and do not abide by corporate formalities and should not be permitted to hide behind their corporate form." PMC notes that the glass breakage has increased since 2024, leading to negative media coverage, inspections, violations and penalties, along with the "substantial costs" to inspect, clean and replace broken glass. Defendants' Motion to Dismiss Deemed 'Moot' as Complaint Is Revised The court denied the defendants' original motion to dismiss as moot after PMC filed its amended complaint before the court ruled. In response, Apogee, Wausau and Viracon filed a new motion to dismiss the amended complaint in July 2026, arguing that PMC has an ongoing Philadelphia Court of Common Pleas case against Wausau involving the same buildings, the same underlying facts and substantially the same damages. The defendants also argued that the claims against Apogee should be dismissed for lack of personal jurisdiction and that PMC cannot pursue implied warranty claims based on spontaneous glass breakage.
