Curaleaf launches $4 hostile bid for Aurora Cannabis to access EU medical market

Curaleaf has formally launched its hostile takeover bid for Aurora Cannabis, offering $4 per share directly to shareholders. The offer represents a 45% premium on Aurora's 30-day average share price from 10 August, before Curaleaf announced its intentions. The proposed deal would create a combined company with a $3 billion market cap. Curaleaf projects approximately $40 million in annual cost synergies from the merger. The acquisition aims to give Curaleaf access to EU medical cannabis export markets, particularly Germany. Aurora possesses EU-GMP cultivation capacity that meets strict German import standards. Federal restrictions make direct cannabis exports challenging for US firms like Curaleaf. Curaleaf CEO Boris Jordan said initial friendly discussions with Aurora CEO Miguel Martin earlier this summer stalled, prompting the direct shareholder approach. Aurora's board has formed a special committee to review the offer.

Curaleaf becomes first company to register standardised cannabis preparations in Spain

Curaleaf Holdings has become the first company to secure registration for standardised cannabis preparations in Spain under the country's new regulatory framework, Royal Decree 903/2025. Spain's medicines agency AEMPS approved two preparations — THC-dominant and CBD-dominant — developed by Curaleaf's Spanish manufacturing subsidiary. The registrations enable supply to hospital pharmacies, where the preparations can be used in magistral formulas under medical prescription. Royal Decree 903/2025, approved in October 2025, establishes Spain's regulatory framework for medicinal cannabis, setting production and quality standards. Curaleaf operates an EU-GMP certified manufacturing facility and R&D laboratory in Alicante. The company secured Spain's first licence to process medicinal cannabis derivatives for commercial distribution in May 2020. The preparations are expected to become available to patients through hospital pharmacies as Spain's regulated system develops.
