Requirements
  • A Doctorate of Jurisprudence (JD) degree from an accredited law school is required.
  • At least 10 years of experience in multiple specialized areas of law is required.
  • An active license to practice law in at least one U.S. jurisdiction is required.
  • A Tennessee law license must be obtained within nine months of hire, or in-house counsel registration must be obtained within six months of hire.
Responsibilities
  • Provide legal support to St. Jude Children’s Research Hospital, with emphasis on sponsored research compliance, research-related contracting, intellectual property, know-how, and technology-transfer contract terms.
  • Support strategic research initiatives, multi-institutional collaborations, clinical research networks, federally sponsored research programs, consortium governance, research security, data sharing, and international research collaborations.
  • Deliver timely legal guidance, review and negotiate research and other agreements, and advise on compliance matters affecting the institution.
  • Draft, review, analyze, and negotiate research-related, sponsored research, clinical and pre-clinical collaboration, IP and technology, data sharing, international research, and consortium agreements.
  • Conduct due diligence and provide strategic guidance on research relationships and proposed collaborations, including contractual, regulatory, data-use, IP, publication, confidentiality, export-control, foreign influence, research-security, and institutional risk considerations.
  • Provide legal analysis and counsel investigators and institutional leadership on federal and institutional research compliance rules, federal award terms, sponsor requirements, research security, foreign component disclosures, other support requirements, international collaboration, foreign influence, export control, controlled research data, and sponsored-research policies.
  • Support the development, implementation, and review of internal policies related to conflict-of-interest management, research security, sponsoring-agency requirements, research, data, samples, and safe and respectful work and learning environments.
  • Partner with the Technology Development Industry Engagement team to support IP protection, IP ownership, licensing, invention-related contractual provisions, know-how, and data rights.
  • Provide legal support to institutional personnel, departments, committees, and cross-functional initiatives.
  • Negotiate solutions to complex and sensitive legal issues involving research collaborations, sponsor requirements, IP and data rights, regulatory compliance, and institutional risk allocation.
  • Assist in training and education on sponsored research compliance, research contracting, data-use terms, IP-related contract provisions, confidentiality, publication rights, and research-security obligations.
  • Advise on intellectual property ownership and allocation, publication rights, background IP, confidential information, data ownership, access, use, sharing, retention, protection, and related risk-allocation terms.
  • Maintain contract templates, clause libraries, and internal guidance covering IP, data use and protection, sponsor compliance, publication, confidentiality, and institutional risk positions.
  • Assist in preparing and presenting materials to staff, internal committees, and executive leadership regarding research compliance, contracting, IP and data issues, and related legal matters.
  • Perform internal risk-management duties and participate in the patient-care call coverage rotation.
  • Maintain regular and predictable attendance.
Desired Qualifications
  • Demonstrated experience or strong working knowledge in sponsored research compliance, research contracting, technology transfer, intellectual property provisions in research agreements, data-use agreements, privacy and data protection, federal grant compliance, or healthcare and research regulatory matters.
  • Experience representing healthcare or academic clients.
