Role Essentials

As the SOX ComplianceManager at Lindblad Expeditions, your primary focus will be to champion and ensure compliance with the Sarbanes-Oxley (SOX) Act throughout the organization. This encompasses a deep understanding of SOX regulations and the ability to implement effective controls and procedures to mitigate financial risk and ensure accurate financial reporting.

In this position, the successful candidate will bring a fresh perspective and a proactive approach to enhancing our risk assessment and accounting practices. The SOX Manager will be encouraged to use their experience and insights to take ownership, identifying areas for improvement and implementing effective solutions. They will play a key role in supporting Lindblad’s external reporting requirements to the SEC, ensuring that all filings are accurate, complete, and timely. This will involve collaborating closely with various stakeholders within the finance team and other departments to gather necessary information and prepare financial statements and other disclosures.

Given the small size of the finance organization, you will have the opportunity to broaden your scope and contribute to strategic financial initiatives such as re-financings, acquisitions, and other transactions. This will provide valuable exposure to the broader financial landscape at Lindblad and allow you to apply your deep SOX knowledge and experience while developing a well-rounded skill set in our financial space.

To excel in this role, we are seeking a candidate who can:

- Conduct thorough assessments to identify control gaps and deficiencies. While external auditors’ findings are valuable, we need someone who can think critically and independently to evaluate our internal controls and proactively recommend appropriate actions.

- Demonstrate a strong track record of success in finance and accounting, with a focus on SOX compliance and external reporting. While career gaps are not necessarily disqualifying, we expect you to provide a clear and compelling explanation for any periods of unemployment or career changes.

Role Responsibilities

SOX COMPLIANCE ---------------------
Work closely with the Corporate Controller to monitor and coordinate all aspects of our SOX compliance program.
Work with internal and external audit to develop and implement our annual SOX plan.
Coordinate required SOX deliverables with internal/external audit and various control owners within the company to ensure timely delivery of all required information.
Assist in identifying and evaluating control deficiency risks, mitigation strategies, and tracking remediation to completion.
Provide regular status updates of our SOX testing and timeline.
Assist in the preparation of the quarterly SOX slides for the Audit Committee presentation.
Evaluate the annual control matrix and work with internal audit to finalize any required changes.
SEC REPORTING ---------------------
Serve as a key member of the SEC reporting team and process, including but not limited to assisting in the preparation of Form 10-K/10-Qs and 8-K filings, and earnings releases.
Responsible for maintaining data flows between accounting systems and the Company’s SEC reporting tool
Assist in iXBRL tagging process for all SEC filings.
Assist in preparing supporting documentation and schedules for financial statements including footnotes and MD&A.
Assist with the execution of the financial statement audit.

MINIMUM Qualifications

Bachelor’s degree in accounting or finance, or equivalent industry experience
3+ years of Sarbanes-Oxley experience
3+ years at a public company engaged in SEC reporting
Outstanding communication skills, both written and verbal
Strong knowledge of the Microsoft Office Suite (Excel, Word, etc.)
Must be willing/able to work onsite in our NYC offices 2-3 days p/week

PREFERRED Qualifications

Certified Public Accountant (CPA)
Experience with Great Plains accounting software

COMPENSATION STATEMENT

Lindblad Expeditions determines the pay for positions using local, national, and industry-specific survey data. We evaluate external equity and the cost of labor/prevailing wage index in the relative marketplace for jobs directly comparable to jobs within our company. Our posted salary range is based on national data and may be refined for a candidate’s region/town/cost of living.

For new hires, we strive to make competitive offers allowing the new employee room for future growth. Salaries will be based on the applicant’s location, level of experience, education, and specialized knowledge and skills. An employee/candidate with a stronger skill set will receive higher pay.
