Requirements
  • Typically six to ten years of legal experience advising registered investment advisers on Investment Advisers Act matters, with demonstrated responsibility for complex regulatory and transactional work. Deep expertise in a highly specialized area of investment adviser or Investment Company Act regulation may substitute for fewer overall years of experience.
  • Strong, practical understanding of the Investment Advisers Act of 1940 and its application to registered investment advisers, private funds, and sub-advisory arrangements.
  • A Juris Doctor or equivalent degree from an accredited law school.
  • Admission in good standing to practice law in at least one United States jurisdiction.
  • Demonstrated sound judgment, strong analytical capabilities, and effective interpersonal, oral, and written communication skills.
  • Knowledge of legal compliance, legal consulting, legal practices, legal risk, regulatory compliance, risk assessments, business ethics, decision making and critical thinking, effective communications, establishing and maintaining trust, external resource management, influencing through expertise, legal analysis, legal function, negotiating, and problem solving.
Responsibilities
  • Serve as a senior legal advisor to a registered investment adviser that sub-advises private credit funds, including funds registered under the Investment Company Act of 1940.
  • Provide primary legal support on matters arising under the Investment Advisers Act of 1940, including governance, disclosures, conflicts of interest, regulatory filings, examinations, and ongoing compliance matters.
  • Advise on Investment Company Act issues applicable to private credit fund structures, including regulatory status, exemptions, board and compliance matters, and interactions with fund counsel.
  • Assist in drafting, reviewing, and updating advisory agreements, engagement letters, offering materials, and required regulatory filings, including Form ADV and related disclosures.
  • Partner with compliance, risk management, and senior business leadership to develop and maintain policies, procedures, and practices designed to ensure compliance with the Investment Advisers Act and the Investment Company Act.
  • Represent PNC in interactions with regulators, external counsel, and counsel to counterparties.
  • Exercise sound, independent judgment while managing matters autonomously with minimal supervision.
  • Support PNC’s capital markets advisory businesses and an exempt reporting adviser managing private equity funds, including advising on Investment Advisers Act obligations applicable to exempt reporting advisers.
  • Perform significant and complex legal work while regularly interacting with management.
  • Oversee legal research, analysis, consultation, and documentation within a framework of legal compliance and risk management.
  • Manage expenses for outside-counsel relationships and provide strategic direction on when to leverage outside counsel.
  • Work with outside counsel, combining their advice with analysis and feedback from internal stakeholders to provide practical guidance.
  • Network with outside organizations to advance the legal interests and legal health of the corporation and its industry.
Desired Qualifications
  • Meaningful experience with the Investment Company Act of 1940, including registered funds or hybrid/private credit structures, is strongly preferred.
  • Familiarity with SEC regulatory processes and examinations; experience working at or with the SEC, a registered investment adviser, or an investment management firm is desirable.
  • Knowledge of broker-dealer regulation and Financial Industry Regulatory Authority rules is helpful but not required.

BNC Wealth Management takes $6.7M stake in PNC Financial Services

BNC Wealth Management has acquired a new position in PNC Financial Services Group, purchasing 32,171 shares valued at approximately $6.7 million during the fourth quarter, according to an SEC filing published on 10 April 2026. The investment represents 1.7% of BNC Wealth Management's total holdings, making PNC its 18th largest position. Several other major institutional investors, including State Street Corp, Capital International Investors and Viking Global Investors, have also increased their stakes in PNC recently. PNC Financial Services, headquartered in Pittsburgh, Pennsylvania, is one of the largest diversified financial services companies in the United States, offering consumer and commercial banking, mortgage lending and wealth management services.

PNC posts record $7B earnings with 18% jump, adds $27B FirstBank to push west

PNC Financial Services posted record 2025 results with full-year consolidated income reaching $7 billion, up 17.5% year-over-year, and diluted earnings per share rising nearly 21% to $16.59. Fourth-quarter earnings of $4.88 per share exceeded Wall Street estimates of $4.23. The Pittsburgh-based bank completed its acquisition of Colorado's FirstBank in January, adding $27 billion in assets and 95 branches to expand its western presence. Despite $325 million in integration costs, the deal is expected to be accretive, adding $1 per share to annualised earnings by year-end 2026. PNC projects 8% loan growth and 11% revenue growth this year, with net interest income up 14%. The company maintains a 10.6% Tier 1 capital ratio and pays a dividend yielding around 3%.

Phoenix Service Partners secures $600M credit facility to expand gas compression services

Phoenix Service Partners has upsized its asset-backed credit facility to $600 million to support continued expansion. PNC Bank served as lead arranger of the facility, which was provided by a consortium of lenders. The College Station, Texas-based company provides high-horsepower, low-emission natural gas compression services in the Permian and Eagle Ford basins. The new capital comes in addition to Phoenix's equity partnership with SCF Partners. "We aim to build the premier gas compression service company, and this expanded financing facility positions us well to provide best-in-class equipment and superior service in coming years," said Randy Dean, co-founder and chief executive officer of Phoenix. The financing will enable Phoenix to scale its compression platform and deliver turnkey natural gas compression stations to midstream and upstream operators.

Sonic Automotive secures $150M PNC bridge loan with 364-day maturity

Sonic Automotive has secured a $150 million senior unsecured bridge loan from PNC Bank, borrowing the full amount immediately upon closing on 27 March 2026. The loan matures within 364 days or upon refinancing of Sonic's existing PNC mortgage facility, whichever comes first. The bridge facility carries interest based on Term SOFR plus 2.50% or a base rate plus 1.50%, at the company's option. The agreement includes standard covenants restricting additional debt, dividends, capital spending and major asset transactions, with cross-defaults and change-of-control provisions. The loan can be prepaid without penalty, giving Sonic flexibility to adjust leverage whilst maintaining its extensive banking relationship with PNC. The arrangement supports ongoing operations and potential strategic initiatives through short-term financing.
