Requirements
  • At least 5 years of legal administration experience, including significant contract management experience.
  • Experience with contract administration and litigation or regulatory matter tracking and management.
  • A highly organized and detail-oriented approach to tracking obligations and deadlines.
  • Ability to identify problems, propose solutions, complete work independently in a remote environment, and learn and implement technology.
  • Written and verbal communication skills sufficient to work effectively with staff, executives, volunteers, and outside parties.
  • Proficiency with Outlook, Word, Excel, PowerPoint, and document management and collaboration platforms.
  • Sustained independent judgment and discretion in handling privileged and confidential material, with the organizational discipline to keep a small department’s obligations tracked and current without close supervision.
Responsibilities
  • Manage the contract lifecycle for all entities, including intake, triage, routing, approval tracking, supporting legal review, execution, distribution, retention, and closeout.
  • Conduct first-pass review of routine agreements against approved templates and department playbooks.
  • Escalate agreements that depart from approved templates or playbook positions to counsel.
  • Coordinate agreement execution and retention.
  • Track and provide advance notice of renewals, expirations, termination windows, and annual price adjustments.
  • Lead the design or selection of contract management software for enterprise contract review and tracking.
  • Design, document, implement, and revise department processes and workflows.
  • Assess existing practices, identify gaps, and propose and implement solutions.
  • Establish standards that produce consistent results.
  • Build and maintain reporting on contract volume, cycle time, obligations, and deadlines.
  • Lead or support department projects from planning through implementation.
  • Serve as the department’s process resource for other departments interacting with legal.
  • Build and own the department tickler and reminder system for contract dates, regulatory and litigation processes, registrations, license renewals, insurance certificates, and charter and bylaw review cycles.
  • Organize and maintain annual industry legal and regulatory reference materials and distribute them as directed.
  • Own the legal department records retention schedule and support its application.
  • Support preparation and submission of corporate, state, and insurance regulatory filings.
  • Monitor changes in registration and filing requirements across states and advise the Chief Legal Officer of new or changed obligations.
  • Draft and support drafting of dental society charters, charter revocations, and related organizational documents.
  • Maintain rosters, bylaws, charters, and entity corporate records for filings, audits, and examinations.
  • Serve as a remote backup resource to the governance team.
  • Receive reports of potential claims, incidents, and liabilities across the organization and its entities.
  • Maintain the master log of claims, incidents, and open matters through resolution and closure.
  • Coordinate reporting of claims and incidents to carriers and brokers at counsel’s direction and maintain related correspondence and records.
  • Maintain the litigation and claims matter docket, including intake, matter numbering, status tracking, and file organization.
  • Serve as the administrative point of contact for outside counsel, coordinating document and information requests and tracking deadlines and deliverables.
  • Issue and track litigation hold notices and custodian acknowledgments at counsel’s direction.
  • Administer the organization’s ethics hotline and web intake system and route reports promptly.
  • Design and maintain a unified file structure for legal, governance, and Council on Professionalism and Mediation functions.
  • Implement and maintain records integrity, including naming conventions, version control, complete matter and entity files, and migration from existing repositories.
  • Serve as business owner of the contract management system, including requirements, configuration, testing, data quality, user administration, and training.
  • Administer matter and workflow tracking tools and implement improvements that reduce turnaround time and manual tracking.
  • Supervise support staff, including assigning work, coaching, development, and performance management.
  • Document and maintain department procedures, including desk procedures and cross-training.
  • Provide support across department functions and adjust priorities as matters, deadlines, and organizational needs require.
  • Develop working knowledge of unfamiliar subject matter areas as the department’s work evolves and consult counsel appropriately.
  • Anticipate needs, resolve administrative and process issues independently, and escalate matters requiring legal judgment.
  • Serve as a resource to staff, executives, and volunteer leaders on department processes and pending matters.
  • Handle privileged, confidential, and sensitive information with discretion and maintain privilege in department files and systems.
  • Perform other duties as assigned.

  • Experience managing the full contract lifecycle, including first-pass review of routine agreements against established templates and playbooks.
  • Experience designing and implementing processes, workflows, or programs from the ground up.
  • Experience building and maintaining systems and processes and maintaining organizational records accurately.
  • Experience documenting procedures, building templates and checklists, and training others on their use.
  • Experience working directly with attorneys and handling privileged and confidential material with discretion and sound judgment.
  • Ability to take ambiguous problems, define the approach, and complete the work with limited direction.
  • Adaptability across subject matter areas and comfort supporting varied and shifting legal needs across multiple entities.
  • Sound judgment about when to act independently and when to escalate to counsel.
  • Ability to manage competing priorities and meet deadlines across multiple entities and stakeholders.
  • Prior paralegal or legal assistant experience.
  • Supervisory experience.
  • Experience with corporate, insurance, or state regulatory filings.
  • Experience in a small or lean legal department covering multiple functions.

CDA announces appointment of new chief legal officer. May 26, 2026 0 16 SACRAMENTO, Calif. - The California Dental Association has announced the appointment of Dean Frieders as its new chief legal officer. Frieders succeeds Alison Sandman, who is retiring after 20 years of dedicated service to the organization. "We searched for a leader with deep legal expertise who aligns with our values and culture," said Peter DuBois, executive director for CDA. "Dean's background as an attorney and an executive with extensive experience advising membership-based organizations and multi-entity enterprises made him a highly qualified successor to Alison Sandman. His commitment to expanding access to healthcare for underserved communities further proved he was the right leader to join our organization, and we are very pleased to welcome him to CDA." Frieders comes to CDA from Work Health Solutions, a California-based occupational health care company where he oversaw the legal, compliance and regulatory functions for a complex, multi-state operation. His legal background encompasses insurance law, commercial contracts, healthcare regulatory compliance, real estate, employment law, technology and data privacy, and legislative advocacy. "CDA is an organization with a deeply important history and commitment to serving its members and advocating for oral health and the dental profession," said Frieders. "I am honored and excited to join the organization and work alongside staff and members to advance that important work across the state." Frieders holds a law degree from the Chicago-Kent College of Law, where he graduated with highest honors. He also earned a Bachelor of Arts in political science, summa cum laude, from North Central College in Illinois. In addition to his professional accomplishments, Frieders is committed to volunteer work and community service. He's served on multiple public health task forces and helped develop statewide public health initiatives, including a medical strike team model capable of responding to urgent health needs in medically underserved communities. That model has supported responses to COVID-19, mpox, H5N1 and other public health threats. His work has also included efforts to improve medical literacy, expand access to care and support more equitable health outcomes for Californians.
