Requirements
  • Five or more years of relevant work experience in a law firm or in-house legal department reviewing, drafting, and negotiating commercial contracts and providing advice on corporate governance.
  • Qualification to practice law in at least one jurisdiction with a valid practising equivalent authorization.
  • Technical competence in at least three of the key areas of responsibility listed above.
  • The ability to provide clear, robust, and pragmatic legal advice on complex areas of law.
  • Excellent analytical and problem-solving abilities with an eye for detail.
  • A generalist mindset, with interest in working across multiple functional areas, learning new areas of law, taking on higher levels of responsibility, and supporting senior leadership.

Responsibilities
  • Manage the lifecycle of commercial contracts, including drafting, reviewing, and negotiating non-disclosure agreements, consulting contracts, partnership agreements, fundraising agreements, memoranda of understanding, data-sharing agreements, and licensing agreements.
  • Support contract administration and modifications, and oversee contract execution, tracking, archiving, and repository management to promote readiness and consistent recordkeeping.
  • Draft and review internal governance policies and processes, board minutes, resolutions, and related documents to ensure compliance with applicable governing requirements and alignment with organizational goals.
  • Acknowledge filed complaints, input information into case-management records, and coordinate with Program Management and Development to respond to complaints using standard-form templates.
  • Assist with responding to inquiries from regulatory agencies and manage collection of documents for production to agencies when requested.
  • Support enforcement of Verra’s intellectual-property portfolio.
  • Collaborate with licensees to negotiate and formalize intellectual-property and data-licensing agreements.
  • Monitor potential trademark infringements and manage resolution strategies.
  • Manage the Logo mailbox by addressing inquiries and ensuring adherence to established policies.
  • Advise the Registry Team on registry-related queries concerning interpretation of the Verra Registry Terms of Use and other registry-related requests.
  • Provide document management, data synthesis, and case analysis to support contentious matters and litigation processes.
  • Streamline legal workflows by managing invoice tracking, mailbox management, internal communications, and the Legal, Risk and Governance Department intranet homepage.
  • Serve as a primary contact for legal queries, triaging inquiries and requests to the appropriate Legal, Risk and Governance Department or Verra team member to support prompt resolution.
